LICENSEE agrees to comply with all federal, state and <br />local laws, construction and safety codes, and other regulations <br />in the construction and maintenance of its facilities. <br />3. LICENSEE agrees to construct and maintain its <br />facilities with due regard for the public safety and convenience 1 <br />and to promptly remove any hazards created by storms, accidents <br />or other causes. <br />4. LICENSEE agrees to construct and maintain its <br />facilities underground, and in a manner so that interference with <br />the LICENSOR's use of the PROPERTY 1 and the remainder of the <br />Hilltop Power substation, is minimized. <br />5. LICENSEE agrees to restore the surface of the PROPERTY <br />including any improvements of others thereon 1 within a reasonable <br />time after completing any construction or maintenance on its <br />facilities. <br />6. LICENSEE agrees to indemnify 1 hold harmless and defend <br />LICENSOR, its officers and employees from and against any claims <br />or liability which may be incurred by reason of any act or <br />omission of LICENSEE, its officers, agents or employees in <br />connection with its use of the PROPERTY. <br />7. LICENSOR may terminate and revoke this L~cense <br />Agreement if LICENSEE violates this agreement and fails to cure <br />such violation within 30 days after LICENSOR gives LICENSEE <br />written notice of the violation. LICENSOR may terminate this <br />agreement for any other reason by giving LICENSEE six months' <br />written notice of termination. Upon any such termination 1 the <br />LICENSEE agrees to remove and relate its facilities outside of <br />the PROPERTY within 30 days of the termination date. <br />8. This LICENSE constitutes the entire agreement between <br />LICENSOR and LICENSEE on this subject, and it may be amended only <br />by written instrument executed by both parties. <br />9.
