<br /> IOle.- <br /> * These attorneys will perform services only with the <br /> specific concurrence of client. <br /> These base rates are subject to change by agreement <br /> from time-to-time, and Attorneys agree to promptly <br /> notify and obtain agreement from Client of any such <br /> changes. These rates do not include the other <br /> fees, charges 1 and expenses as described in section <br /> II.B. herein, all of which are additional charges <br /> to Client. <br /> 2. Client hereby authorizes Attorneys to fully <br /> investigate the facts and the law relative to the <br /> Matter. Upon the conclusion of such investigation <br /> Attorneys shall have the discretionary right with <br /> reasonable promptness to determine whether <br /> Attorneys desire to pursue the Matter 1 and upon <br /> notification to Client of a determination that <br /> Attorneys do not desire to pursue the Matter 1 <br /> Attorneys shall be entitled to withdraw from any <br /> further representation of Client pursuant to this <br /> Agreement. In such event calculation of the fees <br /> which will be payable to Attorneys shall be on the <br /> basis of actual work hours expended by the <br /> Attorney 1 at then existing applicab}e hourly rates. <br />B. other Fees, Charqes, and Expenses. <br /> 1. Attorneys may retain other persons or entities to <br /> perform necessary services related to this matter, <br /> subject to client's written approval as to each <br /> such person or entity. Such other persons and <br /> entities may include, but are not limited to, <br /> travel assistance, court reporters, and where <br /> appropriate 1 appraisers, real estate agents, escrow <br /> agents 1 accountants, investigators 1 expert <br /> witnesses, trust officers, stock brokers 1 title <br /> examlners, surveyors 1 other consultants 1 and other <br /> attorneys hired for ancillary matters in other <br /> localities. Client authorizes the Attorney, in its <br /> discretion 1 to direct such other persons and <br /> entities to render statements for services rendered <br /> and expenses advanced either directly to Client in <br /> which Client agrees to promptly pay directly or to <br /> Attorneys, in which latter event Client agrees to <br /> promptly reimburse Attorneys for the full amount of <br /> such statements. <br /> 4 <br />
