<br /> /02[: <br /> rights to any fees, past, present, or future owed <br /> by Client¡ provided however that Client shall <br /> remain obligated to attorneys for all costs and <br /> expenses. Client acknowledges being fully advised <br /> by Attorneys that the Code of Professional <br /> Responsibility of the state of Texas and the state <br /> Bar of Texas precludes withdrawal by Attorneys when <br /> Client is at risk, particularly during trial, <br /> absent written agreement 1 and Client, being fully <br /> so aware, nonetheless makes this agreement 1 and <br /> Attorneys may so advise or inform any Court in <br /> connection with any withdrawal by Attorneys from <br /> this Matter. Attorneys are not hereby seeking to <br /> reduce their ethical obligations 1 but only to fully <br /> advise and inform Client at the time of the <br /> execution hereof that they will not be required to <br /> continue employment absent compliance with the <br /> provisions of this Agreement. Attorneys and Client <br /> recognize that it is fundamentally important to a <br /> good Attorney-Client relationship that the <br /> reasonable fees and charges of the Attorney be <br /> currently paid, and that the failure to do can and <br /> does strain the relationship and impose heavy <br /> strains upon the proper discharge of Attorneys' <br /> duties. . <br />3. Client reserves the right to terminate the <br /> representation for cause if Attorneys fails to <br /> honor this Agreement. Notification of the <br /> termination shall be made immediately in writing to <br /> the Attorney. In the event of any such termination <br /> by Client, Client shall promptly reimburse <br /> Attorneys for charges, and expenses incurred <br /> pursuant to section II.B. of this Agreement prior <br /> to the date of such termination. <br />4. Client further reserves the right to terminate the <br /> representation without cause, and shall notify <br /> Attorneys immediately in writing of any such <br /> termination. In the event of any such termination, <br /> Client agrees to immediately pay Attorneys for all <br /> fees all charges and expenses incurred pursuant to <br /> Section II.B. of this Agreement prior to the date <br /> of such termination. Such termination shall in no <br /> way reduce or diminish Attorneys' interest in the <br /> 7 <br />
