<br />Page 2 <br /> <br /> <br />1.5'3J <br /> <br />BILL OF SALE <br /> <br />For said consideration, Seller further TRANSFERS, ASSIGNS, BARGAINS, SELLS and <br />DELIVERS unto Purchaser: (1) all exiting and assignable builders', manufacturers', and <br />suppliers' bonds, warranties and guaranties, inuring to the benefit of Seller and which relate to <br /> <br />, ' <br /> <br />the construction, repair or operation of the Facilities; and (2) such copies of all plans, <br />specifications, manufacturers' instruction books, soil tests, water studies and engineering reports <br />relating to the Facilities and the land on which they are located, as from time to time shall be <br />requested by Purchaser. <br /> <br />Seller warrants that it is the lawful owner in every respect of the Facilities and that they are free <br />and clear of any and all liens, security interests, encumbrances, claims, demands, and charges <br />of every kind and character whatsoever. <br /> <br />Seller declares, with respect to the property being transferred by this.Bill of Sale, that it is <br />BARGAINED, SOLD and DELIVERED to AS IS" and "WITH ALL FAULTS, to and further that <br />there are no warranties, express or implied, as to the condition, quality or use, including, but <br />not limited to warranties of merchantability or fitness for a particular purpose or use, except: <br />(1) as expressly set forth in this Bill of Sale; and (2) that Seller warrants that Seller has no actual <br />knowledge of any material defects in the Facilities. <br /> <br />Seller hereby binds itself, its successors and assigns, to forever WARRANT AND DEFEND the <br />title to all the property described in this Bill of Sale unto the said Purchaser, its successors and <br />assigns, against every person whomsoever lawfully claiming or to claim such herein described <br />prope.rty or any part thereof. <br /> <br /> <br />
