<br />lL{bf< <br /> <br />11.09 <br /> <br />Governinq Law and Venue: <br /> <br />This Agreement shall be <br /> <br />construed in accordance with the laws of the State of Texas and <br /> <br />venue shall lie in Hays County, Texas. <br /> <br />11.10 <br /> <br />Parties Benefited: <br /> <br />Except as otherwise expressly <br /> <br />provided herein, nothing in this Agreement, express or implied, is <br /> <br />intended to confer on any person, other than the parties hereto, <br /> <br />and their successors and assigns, any benefits, rights or remedies <br /> <br />under, or by reason of this Agreement. <br /> <br />11.11 Effective Date: This Agreement shall be effective on <br /> <br />the yT!:L day of <br /> <br />VV\f;--! <br /> <br />1994. <br /> <br />11.12 <br /> <br />Other Documents: <br /> <br />The parties to this Agreement <br /> <br />covenant and agree that they will execute such other and further <br /> <br />instruments and documents as are or may become reasonably necessary <br /> <br />or convenient to effectuate and carry out the pyrposes of this <br /> <br />Agreement. <br /> <br />11.13 <br /> <br />Severability: <br /> <br />Any clause, <br /> <br />sentence, provision, <br /> <br />paragraph or article of this Agreement held by a court of competent <br /> <br />jurisdiction to be invalid, illegal or ineffective shall not <br /> <br />impair, invalidate, or nullify the remainder of this Agreement, but <br /> <br />the effect thereof shall be confined to the clause, sentence, <br /> <br />provision, paragraph or article so held to be invalid, illegal, or <br /> <br />ineffective. <br /> <br />-..~ <br /> <br />IN WITNESS WHEREOF, the parties hereto have set their hands to <br /> <br />Tri-?arty Agreement for <br />Utility and Road Improvements <br /> <br />19 <br />
