<br />/ L(6 Q <br /> <br />This Agreement and all of the terms and provisions hereto shall be <br /> <br />construed so as to effectuate the purposes contemplated hereby and <br />to sustain the validity hereof. <br /> <br />1.1..03 <br /> <br />Compliance with Laws: <br /> <br />The parties, <br /> <br />in the <br /> <br />performance of their respective obligations hereunder, shall comply <br /> <br />with all applicable ordinances, regulations, statutes and laws of <br /> <br />the City, the State of Texas, and the United States of America in <br /> <br />connection with the construction of the Project. <br /> <br />1.1..04 <br /> <br />Termination: This Agreement shall terminate only if <br /> <br />the Constructions Contracts have not been executed within one <br /> <br />hundred twenty (120) days after the approval by the City of this <br /> <br />Agreement or at any time upon the unanimous agreement of all the <br /> <br />parties hereto. <br /> <br />1.1..05 <br /> <br />Attorneys' Fees: In the event it becomes necessary <br /> <br />to employ an attorney or attorneys to enforce the conditions of <br /> <br />this Agreement against any defaulting party or parties, the non- <br /> <br />prevailing party shall pay all costs and expenses and reasonable <br /> <br />attorney's fees incurred by the prevailing party or parties in <br /> <br />connection with the enforcement of this Agreement upon final <br /> <br />settlement of the dispute, whether by agreement or judgment. <br /> <br />11..06 <br /> <br />Successors and Assiqns: <br /> <br />This Agreement shall be <br /> <br />binding upon the parties hereto and their respective successors and <br /> <br />assigns. <br /> <br />1.1..07 <br /> <br />Amendmen t : <br /> <br />Any amendment or modification of this <br /> <br />Agreement shall be in writing and signed by the parties hereto. <br /> <br />1.1..08 <br /> <br />Time of Essence: <br /> <br />Time is of the essence to this <br /> <br />Agreement. <br /> <br />Tri-~arty Agreement for <br />Utility and Road Improvements <br /> <br />18 <br />
