<br />IlfbA <br /> <br />ARTICLE 1 <br /> <br />THE PROJECT <br /> <br />1.01 The scope of the work covered by this Agreement (the <br /> <br />"proj ect") shall be the design and construction of a portion of the <br /> <br />improvements described in the Project Documents listed on Exhibit <br /> <br />"A" attached hereto and incorporated herein for all purposes <br /> <br />("Proj ect Documents"), and includes, but is not necessarily limited <br /> <br />to, the following: <br /> <br />(a) An eight inch (8") water line referred to as <br />Project B in the Project Documents and generally <br />depicted on Exhibit "B" attached hereto; <br /> <br />(b) Twelve inch (12") wastewater lines referred to as <br />Lines AA, Band C in the proj ect Documents and <br />generally depicted on Exhibit "C" attached hereto. <br /> <br />ARTICLE 2 <br /> <br />PROJECT MANAGEMENT <br /> <br />2.01 The parties hereto hereby agree to designate and <br /> <br />authorize the SMCISD to act as the Proj ect Manager (" proj ect <br /> <br />Manager") for the design and construction of the Project. <br /> <br />2.02 The services to be provided by the proj ect Manager <br /> <br />include, but are not limited to, the following: <br /> <br />(a) Retaining the services of a Professional Engineer <br />("Engineer") licensed and registered in the State <br />of Texas to provide services in regard to the <br />development, design and construction of the Project <br />and to execute a Professional Services Agreement in <br />a form satisfactory to the Project Manager with the <br />Engineer outlining the services to be provided by <br />the Engineer and the compensation to be received by <br />the Engineer. The parties hereby acknowledge and <br />agree that Byrn & Associates, Inc. has already <br />prepared the proj ect Documents, which have been <br />submitted to the City for approval. The Project <br />Manager shall have the right to continue to utilize <br />the services of Byrn & Associates, Inc. or to <br /> <br />Tri-Parcy Agreemenc for <br />Ucilicy and Road Improvemencs <br /> <br />2 <br />
