<br /> 77F <br /> -7- <br />however, that the City and the County will have the right, at their <br />option, to be represented therein by advisory counsel of their own <br />selection and at their own expense. <br />7.04. This indemnity is not limited to damages, compensation, or <br />benefits payable under insurance policies, worker..!..es' compensation <br />disability benefit acts, or other employee benefit acts which are <br />carried by EMS. <br /> 8. INSURANCE <br /> EMS will maintain liability insurance for its general, vehicle <br />and medical operations in a form and with a carrier acceptable to the <br />City and the County. This insurance will name the City and the County <br />as co-insureds and will be in a coverage amount of not less than <br />$500,000.00 for injuries to anyone person, $1,000,000.00 for injuries <br />arising out of any one occurrence, and not less than $100,000.00 for <br />damage to property. EMS will furnish to the City and the County <br />written evidence of these coverages. <br /> 9. EMS BY-LAWS: COMPLIANCE WITH LAWS <br /> <br /> EMS will adopt and maintain by-laws conforming to this <br />Agreement, and will comply with all City and County ordinances and <br />orders and all laws of the State of Texas both as they relate to EMS's <br />operations under this Agreement. <br /> 10. AUDIT <br /> The City, the County, and EMS agree that an annual audit of the <br />financial records of EMS will be performed by a certified public <br />accountant. The City will be responsible for performance of the audit <br />in odd-numbered years, and the County will be responsible in <br />even-numbered years.
