<br /> 7oe... <br /> ARTICLE 6: AUTHORIZATION: Each party must delegate in writing a <br /> single (and backup) point of contact for the other party to address <br /> all inquiries, deliver all messages related to scheduling, etc. <br /> This source should also be the authorized Client source of all <br /> requests and RFW's. Any services described hereunder will be <br /> provided only if authorized by that person. Neither the Client nor <br /> Heron, Inc. shall assume responsibility for requests from anyone . <br /> other than the person(s) identified within. All requests for <br /> service must be in writing via the Heron, Inc. RFW process. Client <br /> shall keep a copy of each request for their records. <br /> ARTICLE 7: TAXES: Payment of any applicable Sales and Use, excise <br /> - or like taxes, excluding income taxes, applicable to the <br /> Maintenance Services delivered hereunder shall be the sole <br /> responsibility of Client. <br /> ARTICLE 8: MAINTENANCE: Heron, Inc. shall maintain the Client's <br /> Licensed Software so it operates in substantial conformance with <br /> the current'pub1ished Users Reference Manual(s) (provided Client <br /> has implemented use of the current Release o£ the Licensed Software <br /> provided by Heron, Inc. the Client) or any approved written Client <br /> specific specifications. Heron, Inc. shall have no responsibility <br /> to perform maintenance upon superseded releases to the Licensed <br /> Software as identified by Heron, Inc. from time to time, except <br /> that Heron, Inc. will continue to provide maintenance on such <br /> superseded release for a period of six (6) mønths from the <br /> published date of each superseding release or as extended due to <br /> Heron, Inc. 's scheduling constraints. Maintenance of a release <br /> older than 6 months may, at Heron, Inc.' s discretion, be performed <br /> on mutually agreeable terms. <br /> ARTICLE 9: LIMITATIONS AND PAYMENT TERMS: <br /> (A) All out-of-pocket expenses incurred by Heron, Inc. in <br /> providing maintenance services under this Agreement shall be <br /> paid by Client within fifteen (15) days after receipt of <br /> invoice¡ provided, however, t~at prior Client approval shall <br /> be required for all items of these expenses in excess of two <br /> hundred dollars ($200.00) each. Expenses will be actual <br /> expenses supported by receipts. These reimbursable expenses <br /> include, without limitation, employee travel expenses <br /> (including time if during normal business hours), subsistence, <br /> telephone, remote access modem time, postage and extraordinary <br /> reproduction costs. <br /> (B) In consideration of the services provided hereunder Client <br /> agrees to pay the Annual Maintenance Fee as shown In Exhibit <br /> A, subject to price increase pursuant to Article 5. Payment <br /> for such services is due and payable upon receipt of invoice <br /> and may be paid in annual, quarterly, or monthly installments. <br /> (C) Heron, Inc. has the right to refuse program maintenance and <br /> support services when Maintenance Fees payable pursuant to <br /> this agreement by client remain unpaid after thirty (30) days <br /> 4 <br />
