<br /> -9- <br /> be canceled or amended without ten (10) days <br /> written notice by registered mail to the city. A <br /> certificate of insurance shall be delivered by the <br /> League to the City within ten (10) days of the <br /> execution of this lease and annually thereafter. <br /> The minimum limits of any required insurance shall <br /> not limit the league's liability under Part (8) of <br /> this lease. <br />(8) The League shall indemnify, defend, and hold <br /> harmless the City and all officers, agents and <br /> employees of the City from any and all damages, <br /> claims, losses, demands, suits, judgments, costs, <br /> and expenses arising in connection with the <br /> construction and operation by League of a <br /> baseball/softball complex at Ramon Lucio Park <br /> pursuant to the terms of this lease. <br />(9) (a) The League reserves the right to terminate <br /> this lease at any time upon six months advance <br /> written notice to the City. Upon termination <br /> of this lease by the League, the City agrees <br /> to permit the League to remove any equipment <br /> or structures from the property which may be <br /> reused or relocated at a different site and <br /> the city also agrees to consider any request <br /> by the League for a use agreement or lease of <br /> alternate City property under terms similar to <br /> those in this lease. <br /> (b) Should the League default in performing any of <br /> its responsibilities, the city shall give the <br /> League notice in writing of such default, and <br /> if League shall fail or refuse to cure the <br /> default within sixty (60) days after service <br /> of the notice, the City may terminate and <br /> cancel this lease. <br /> (c) Upon any breach or termination of this lease <br /> by the City which requires the League to <br /> relocate its complex to a site other than <br /> Ramon Lucio Park, the City agrees to reimburse <br /> the League for any structures and improvements <br /> constructed by the League which cannot <br /> reasonably be relocated to the new site. The <br /> amount of reimbursement shall be the appraised <br /> value of the structures and improvements at <br /> time of relocation. Property will be <br /> appraised by three (3) independent appraisers <br /> approved by the City and League. The mid- <br /> value appraisal estimate will be the accepted <br /> reimbursement. The City will also reimburse <br /> the League for any costs incurred due to <br /> dismantling and moving those structures and <br /> improvements considered as being reasonably <br /> able to be relocated. <br />(10) The League may operate a concession service for the <br /> sale of food, drinks and souvenirs in the Complex. <br /> Alcoholic beverages shall not be sold at the <br /> concession. All profits from the concession shall <br /> be used for the operation of the League's program <br /> and the construction and maintenance of the <br /> Complex, and for no other purpose. <br />(11) The League shall not assign any rights or <br /> responsibilities under this Agreement without first <br /> receiving written approval of the City. <br />
