<br />the services included in this Agreement, whether completed or in <br />progress. <br /> <br />ARTICLE 8 <br />JlISCRT.T.AqOUS PROVISIONS <br /> <br />8.1 ARCHITECT shall provide all services under the terms of this <br />Agreement as an independent contractor of the City of San Marcos. <br /> <br />8.2 The ARCHITECT hereby <br />indemnify the OWNER against <br />sustain arising from work <br />limited to any negligent act <br />employees, agents or assigns. <br /> <br />agrees to hold harmless, defend, and <br />all claims which OWNER may at any time <br />performed hereunder including, but not <br />or omission of the OWNER, its officers, <br /> <br />8.3 In performing the services required hereunder, the ARCHITECT shall <br />not discriminate against any person on the basis of race, color, <br />religion, sex, national origin, age or physical disability. <br /> <br />8.4 All references in this Agreement to any particular gender are for <br />convenience only and shall be construed and interpreted to be of the <br />neuter gender. <br /> <br />8.5 Should any provision herein be deemed to be invalid by a court of <br />competent jurisdiction, this Agreement shall be construed as not <br />containing the provision, and all other provisions which are otherwise <br />lawful shall remain in full force and effect, and to this end the <br />provisions of this Agreement are declared to be severable. <br /> <br />8.6 All services provided pursuant to this Agreement are for the <br />exclusive use and benefit of OWNER. <br /> <br />8.7 In performing this Agreement, ARCHITECT shall comply with all <br />local, state and federal laws. <br /> <br />8.8 This Agreement is to be interpreted in accordance with the Law of <br />the State of Texas, and exclusive venue for any dispute arising <br />hereunder shall lie in Hays County, Texas. <br /> <br />ARTICLE 9 <br />SUCCESSORS AIm ASSIGHS <br /> <br />9.1 The OWNER and the ARCHITECT, respectively, bind themselves, their <br />successors and assigns to the other party to this Agreement with <br />respect to all covenants of this Agreement. Neither the OWNER nor the <br />ARCHITECT shall assign, sublet or transfer any interest in this <br />Agreement without the written consent of the other. <br /> <br />ARTICLE 10 <br />EXTEHT OF AGREEIIEBT <br /> <br />10.1 This Agreement represents the entire and integrated Agreement <br />between the OWNER and the ARCHITECT and supersedes all prior <br />negotiations I representations or agreements, either written or oral. <br />This Agreement may be amended only by written instrument signed by both <br />OWNER and ARCHITECT. <br />
