CERTIFICATE OF UNDERWRITER The undersigned hereby certifiea as follows with respect to the sale of $1,050,000 CITY OF SAN MARCOS, TEXAS WATERWORKS AND SEweR SYSTEM REVENUE BONDS, NEW SERIES 1992 (the "Bonds"). 1. The undersigned is the underwriter or the manager of the Iyndicate of underwriters which has purchased the Bonds from the City of San Marcos, Texas (the "City") at competitive sale. 2. The undersigned and/or one or more other members of the underwriting Iyndicate, if any, have made a bona fide offering of the Bonds of each maturity to the public. 3. The undersigned understands that the statements made herein will be relied upon by the City in its effort to comply with the conditions imposed by the Internal Revenue Code of 1986 on the exclusion of interest on the Bonds from the gross income of their owners.
