<br /> f")f£ <br /> parties, interruptions in the progress of construction, or other causes <br /> beyond the direct reasonable control of SwL, additional charges may be <br /> applicable and payable by CITY. <br /> ARTICLE 5 <br /> TERMINATION OF AG:REIDŒNT <br /> 5.1 This Agreement may be terminated by either party upon fifteen (15) <br /> iays prior written notice. <br /> 5.2 In the event of termination as provided in this Article, SwL <br /> shall be compensated by CITY for all services performed up to and <br /> including the termination date, which are deemed by CITY to be in <br /> accordance with this agreement, including reimbursable expenses. Such <br /> amount shall be paid by the CITY upon SwL's delivering or otherwise <br /> making available to CITY, all data, reports, summaries, and such other <br /> information and materials as may have been accumulated by SwL in <br /> performing the services included in this Agreement, whether completed <br /> or in progress. <br /> ARTICLE 6 <br /> :KISCF.T.T.ÄNEOUS PROVISIONS <br /> 6.1 SwL shall provide all services under the terms of this Agreement <br /> , <br /> as an independent contractor of CITY. <br /> 6.2 SwL hereby agrees to hold harmless, defend, and indemnify the CITY <br /> against all claims arising from any negligent act or omission of SwL, <br /> its officers, employees or agents. CITY agrees to hold SwL harmless <br /> from any and all claims arising out of any negligent act or omission of <br /> the CITY, its officers, employees or agents. <br /> 6.3 SwL shall procure and maintain throughout the full period of this <br /> agreement sufficient insurance to protect it adequately from claims <br /> under applicable Workers' Compensation Acts and from claims for bodily <br /> injury, death or property damage as may arise from the performance of <br />
