Neither the CITY nor SwL shall assign, <br /> sublet or transfer any interest in this Agreement without the written <br /> consent of the other. <br /> ARTICLE 8 <br /> EXTENT OF AGREEMENT <br /> 8.1 This Agreement represents the entire and integrated agreement <br /> between the CITY and SwL and supersedes all prÜ)r negotiations, <br /> representations or agreements, either written or oral. This Agreement <br /> may be amended only by written instrument signed by both CITY and SwL <br /> ARTICLE 9 <br /> BASIS OF CmœENSATION <br /> 9.1 Compensation to be paid by the CITY for SwL's performance under <br /> I <br /> this Agreement shall be on a unit price basis in accordance with the <br /> Schedule of Services and Fees, attached hereto and incorporated <br /> herein. The total amount of this project shall not exceed the original <br /> estimated total cost of $13,981.00 without prior written consent of <br /> CITY. <br /> 9.2 CITY and SwL agree that, if the scope of the project or the <br /> services are changed materially, the amount of compensation shall be <br /> renegotiated. <br />
