<br /> remedies provided by law. Forbearance by either the CITY or HCAD <br /> to enforce one or more remedies upon an event of default shall not <br /> be deemed or construed to constitute a waiver of any rights. <br /> 11.5 If, on account of any breach or default by a party in its <br /> obligations, it shall become necessary for the other party to use <br /> an attorney to enforce or defend any of the non-defaulting party's <br /> rights or remedies, the defaulting party agrees to pay any <br /> reasonable attorney's fees incurred by the non-defaulting party. <br /> ARTICLE XII <br /> TERMINATION <br /> l2.l Both parties shall forbear from terminating this Lease for <br /> the first three (3) years of its term. The notice period reflected <br /> in Section 12.2 may be included in this period. <br /> 12.2 Upon 180 days written notice, pursuant to Section 14.l of <br /> this Lease, either party may terminate the lease at any time after <br /> two and one-half (2 l/2) years from the execution of the Lease. <br /> ARTICLE XIII <br /> MISCELLANEOUS <br /> l3.l If any clause or provision of this Lease is illegal, invalid <br /> or unenforceable under present or future laws in effect during the <br /> term of this Lease, it is the intention of the parties that the <br /> remainder of this Lease shall not be affected, and the parties <br /> declare that this Lease would have been entered into without the <br /> unenforceable portion. <br /> l3.2 This Lease may not be altered, changed, or amended, except by <br /> instrument in writing signed by both parties. The terms, <br /> provisions, covenants and conditions contained in this Lease shall <br /> apply to, inure to the benefit, and be binding upon the parties, <br /> and upon their respective successors in interest and legal <br /> representatives, except as otherwise expressly provided. <br /> l3.3 The captions used in this Lease are for convenience only and <br /> do not in any way limit or amplify any terms and provisions. <br /> l3.4 One or more waivers of any covenant, term or condition of <br /> this Lease by either party shall not be deemed to waive or render <br /> unnecessary consent to or approval of any subsequent similar act. <br /> -8- <br />
