<br /> shall remain in full force and effect, and to this end the <br /> provisions of this Agreement are declared to be severable. <br /> 9.l0 All services provided pursuant to this Agreement are for <br /> the exclusive use and benefit of the Owner. <br /> 9.11 In, performing this Agreement, the Engineer, its <br /> contractors, subcontractors, successors and assigns, shall comply <br /> with all local, state and federal laws. <br /> ARTICLE 10 <br /> SUCCESSORS ARD ASSIGHS <br /> 10.1 The Owner and the Engineer, respectively, bind <br /> themselves, their partners, successors, assigns and. legal <br /> representatives to the other party to this Agreement and to the <br /> partners, successors, assigns and legal representatives of such <br /> other party with respect to all covenants of this Agreement. <br /> Neither the Owner nor the Engineer shall assign, sublet or <br /> transfer any interest in this Agreement without the written <br /> consent of the other. <br /> ARTICLE 11 <br /> :b:rmltr OF A.GREEIIEIft <br /> <br /> 11.l This Agreement represents the entire and integrated <br /> agreement between the Owner and the Engineer and supersedes <br /> all prior negotiations, representations or agreements, either <br /> written or oral.
