<br /> Article IV. Camù. ttees <br /> Section 1. ( Cœtni t tees of Tros tees. ) The Board of Trustees by <br /> resolution adopted by a majority of the Trustees in office, may desig- <br /> nate and appoint one or m::>re ccmnittees, to the extent provided in <br /> said resolution, shall have and exercise the authority of the Board <br /> of Trustees, in the m:magarent of the Foundation; provided, hONever, <br /> that no such cœmittee shall have the authority of the Board of Trustees <br /> in reference to azœnding, altering or repealing these by-laws; electing, <br /> appointing, or rE!11DVing any rœmber of any such cœmittee or any Trustee <br /> or officer of the Foundation; æœnding the articles of incorporatiom <br /> adopting a plan of rœrger or adopting a plan of consolidation with <br /> another foundation; authorizing the lease, sale, or exchange or lOCJrtgage <br /> of all or substantially all of the property and assets of the Founda- <br /> tion; authorizing the voluntary dissolution of the Foundation or re- <br /> voking proceedings therefor 7 adopting a plan for distribution of the <br /> assets of the Foundation; or amending, altering or repealing any reso- <br /> lution of the Board of Trustees. The designation and appointrænt of <br /> any such cœmittee and the delegation thereto of authority shall not <br /> operate to relieve the Board of Trustees ¡ or any individual Trustee ¡ <br /> of any individual Trustee, of any responsibility imposed upon it or <br /> him by law. <br /> Section 2. (Terms of Office) Each narber of a cœmi tree shall <br /> continue as such until the next annual rœeting of the Board of Trustees <br /> and until his successor is appointed, unless the ccmnittee shall be <br /> 41 <br />
