point of contact throughout the entire process and will provide updates on additional services and <br />products as they become available. The Contractor will provide written notification to the City <br />immediately in the event of a change in project management. The Contractor will not substitute <br />another representative unless approved in writing by the City in advance of such proposed <br />substitution. In the event the City and the Contractor cannot agree to the substitution of the <br />Contractor's Representative, the City may terminate this agreement in accordance with Article 6. <br />All of these Contractor representatives and their directors are available during regular business <br />hours Monday through Friday. Outside of normal business hours, Data Processors with <br />experience in the production process are available Monday through Friday. Additionally the <br />City's CSP will provide the City with training on systems and processes, and important ongoing <br />contact information at the end of implementation. <br />1.12.2 Initiate the testing process prior to beginning actual production, based on the data file <br />provided by the City. In addition, the Contractor will use this test file to initiate a job through <br />CCS Mail ManagerTM like any other job processed through the system. Once completed, the test <br />samples are provided digitally and physically to the City for review and approval. If adjustments <br />are required, the Contractor will make those adjustments and initiate another test run providing <br />samples back to City. The Contractor will repeat this process until the samples are approved. <br />This implementation phase will continue for approximately 30 -45 days from the date the <br />Contractor has received all necessary files and information from the City. The Contractor will <br />create the bill design in the first ten days 10 days of the implementation phase. Near the 10 -day <br />mark following receipt of the data, samples will be available for the City's review. The <br />remaining period of time until going live with production is dependent on the number of <br />changes, adjustments, etc. required by City of San Marcos. <br />1.13 ADDITIONAL SERVICES /CHANGE OR DELAY IN SERVICES <br />1. 13.1 The City may direct the Contractor to perform services outside of the scope of the Basic <br />Services described in Sections 1.0 through 1.12 above. The Contractor will submit a written <br />estimate of fees to the City and obtain the City's authorization before initiating any additional <br />services. <br />1. 13.2 Each material change (deletion or addition) in the services to be provided by Contractor <br />must be authorized by the City on the Authorization of Change in Services form attached to this <br />Agreement as Attachment A. Compensation for additional services will be in addition to that <br />specified for Basic Services in accordance with Article 12 of this Agreement. The approval of <br />the City Council is necessary for all additional services the compensation for which exceeds <br />$50,000. No charge will be made by the Contractor for any hindrance or delay from any cause <br />whatever during the progress of any portion of its work that can reasonably be contemplated by <br />the scope of work, but the City may grant an extension of time for the completion of the work, <br />provided it has satisfied that such delays or hindrances were due to extraordinary causes or to the <br />acts of omission or commission by the City. Any such extension of time will be provided <br />utilizing the City's Authorization of Change in Services form. <br />7 <br />
