<br /> Page 19 <br /> 6.6.1 In the event this Contract is terminated as provided <br /> herein, the City shall be entitled to; (a) pursue the same <br /> remedies against the Contractor, and (b) as a penalty, in addition <br /> to any other damages to which it may be entitled by law, collect <br /> exemplary damages in an amount as determined by City Council which <br /> shall be not less than three (3) nor more than ten (10) times the <br /> total amount given to CITY officers and employees. <br /> 6.6.2 The rights and remedies of the CITY provided in this <br /> clause shall not be exclusive and are in addition to any other <br /> rights or remedies provided by law. <br /> 6.7 The CONTRACTOR is responsible for the performance of this <br /> contract. In the event a change of name or novation agreement <br /> (change of ownership) is required pursuant to action initiated by <br /> the CONTRACTOR, the Purchasing Manager shall be notified <br /> immediately. No change in the obligation of the CONTRACTOR will <br /> be recognized until such change is approved by City Council. A <br /> fee of $100 per request, will be charged the contractor for <br /> administrative costs in processing each assignment under this <br /> provision. Such fee shall be paid by COBœRACTOR to the CITY. The <br /> Contract will then be modified to reflect the changed CORTRACTOR <br /> its name and address. <br /> 6.8 In case anyone or more of the provisions contained in this <br /> contract shall for any reason be held to be invalid, illegal, or <br /> unenforceable in any respect, such invalidity, illegality or <br /> unenforceability shall not affect any other provision hereof, and <br />
