<br /> Page 18 <br /> when the party commencing said cause of action knew or should have <br /> known of the existence of the subject act(s) or failure(s) to act. <br /> 6.4 The CITY and the CORTRACTOR, respectively, bind themselves, <br /> their partners, successors, assigns and legal representatives to <br /> the other party to this Contract and to the partners, successors, <br /> assigns and legal representatives of such other party with respect <br /> to all covenants of this Contract. <br /> 6.5 This contract represents the entire and integrated <br /> agreement between the CITY and the CONTRACTOR and supersedes all <br /> prior negotiations, representations or agreements, either written <br /> or oral. This agreement may be amended only by written instrument <br /> signed by both CITY and CONTRACTOR. <br /> 6.6 The CITY may, by written notice to the Contractor, <br /> terminate the right of the CORTRACTOR to proceed under this <br /> contract if it is found after notice and hearing by the City <br /> Ethics Review Commission, that gratuities (in the form of <br /> entertainment, gifts or otherwise) were offered or given by the <br /> CORTRACTOR, or any agent or representative of the CONTRACTOR, to <br /> any officer or employee of the CITY with the intent to secure a <br /> contract or secure a favorable treatment with respect to the <br /> awarding or amending, or the making of any determination with <br /> respect to the performance of such contract, provided, that the <br /> existence of the facts upon which City Ethics Review Commission <br /> makes such findings shall be in issue and may be reviewed in any <br /> court of competent jurisdiction. <br />
