paragraph 3 is subject to temporary interruptions from time to time as may reasonably be <br />required by Grantee for construction, repair and maintenance activities, emergency <br />closures to prevent threats to public safety or for special events sponsored by Grantee <br />such as festivals and rallies. Before Grantee undertakes any activities that will result in <br />temporary closure of the Property, Grantee will first coordinate with Grantor, providing <br />Grantor an opportunity to implement any traffic management plans as reasonably <br />necessary for directing traffic on Grantor's streets outside of the Property. In cases <br />involving emergency repairs or activities necessary to prevent an imminent threat to <br />public safety, Grantee will provide notice to Grantee and attempt to coordinate with <br />Grantee as soon as is reasonably practical under the circumstances. <br />4. Grantor reserves for itself an easement over, under, upon and across the Property for the <br />purpose of operating, maintaining, repairing, modifying, replacing and removing its existing <br />public utilities and all related appurtenances and equipment, said easement being ten feet on <br />either side of the centerline for each existing public utility system component. <br />a. Before performing any activities under this paragraph, Grantor will provide notice <br />to Grantee of the activity and coordinate with Grantee regarding the scheduling of such <br />activities and measures to be taken regarding traffic management, surface restoration and <br />other impacts on Grantee's operations. In the event of emergency repairs and activities to <br />prevent or mitigate imminent threats to public safety, Grantor will provide notice to <br />Grantee and attempt to coordinate with Grantee as soon as is reasonably practical under <br />the circumstances. <br />b. After completion of any work under this paragraph 4, Grantor shall restore the <br />surface of the Property to a condition substantially the same as or better than existed <br />before the start of such work. <br />C. Each such reserved easement shall terminate when the purpose of the easement <br />ceases to exist, is abandoned by Grantor, or becomes impossible of performance for 180 <br />consecutive days. Upon termination Grantor will execute such documents as Grantee <br />may require in order to show that Grantor has abandoned the easement. <br />Conveyance and Warranty: <br />Grantor, for the Consideration and subject to the Reservations from and Exceptions to <br />Conveyance and Warranty, grants, sells, and conveys to Grantee the Property, together with all <br />and singular the rights and appurtenances thereto in any way belonging, to have and to hold it to <br />Grantee and Grantee's heirs, successors, and assigns forever. Grantor binds Grantor and <br />Grantor's heirs and successors to warrant and forever defend all and singular the Property to <br />Grantee and Grantee's heirs, successors, and assigns against every person whomsoever lawfully <br />claiming or to claim the same or any part thereof when the claim is by, through, or under Grantor <br />but not otherwise, except as to the Reservations from and Exceptions to Conveyance and <br />Warranty. <br />Grantor and Grantee agree that Grantee is taking the Property "AS IS" with any and all latent <br />
