<br />operation <br /> <br />or <br /> <br />maintenance <br /> <br />costs; <br /> <br />competitive <br /> <br />bidding procedures and <br /> <br />market <br /> <br />conditions; <br /> <br />time <br /> <br />or <br /> <br />quality or performance by third parties; <br /> <br />quality, <br /> <br />type, <br /> <br />management, <br /> <br />or <br /> <br />direction of operating personnel; and <br /> <br />other <br /> <br />economic <br /> <br />and <br /> <br />operation <br /> <br />factors that may materially affect the <br /> <br />ultimate <br /> <br />project <br /> <br />cost <br /> <br />or schedule. <br /> <br />Therefore, the Engineer makes no <br /> <br />warranty <br /> <br />that <br /> <br />the <br /> <br />Owner's <br /> <br />actual <br /> <br />project costs, financial aspects, <br /> <br />economic <br /> <br />feasibility <br /> <br />or <br /> <br />schedules <br /> <br />will not vary from the Engineer's <br /> <br />opinions, <br /> <br />analyses, <br /> <br />projection, <br /> <br />or <br /> <br />estimates. <br /> <br />When <br /> <br />the <br /> <br />Owner <br /> <br />requires <br /> <br />the <br /> <br />Engineer <br /> <br />to <br /> <br />prepare <br /> <br />quantity <br /> <br />and <br /> <br />material take-offs <br /> <br />and/or <br /> <br />opinions <br /> <br />of <br /> <br />cost <br /> <br />from plans and specifications that are less <br /> <br />than <br /> <br />100 <br /> <br />percent <br /> <br />complete, the Owner will hold the Engineer harmless <br /> <br />from <br /> <br />any <br /> <br />and <br /> <br />all <br /> <br />loss, <br /> <br />liability, <br /> <br />or <br /> <br />claims <br /> <br />resulting <br /> <br />from the <br /> <br />incompleteness. <br /> <br />3.1.3 <br /> <br />A <br /> <br />fixed <br /> <br />limit of construction cost will be established for <br /> <br />this <br /> <br />project. <br /> <br />The <br /> <br />Engineer <br /> <br />shall <br /> <br />be <br /> <br />permitted <br /> <br />to <br /> <br />include <br /> <br />contingencies <br /> <br />for <br /> <br />design, <br /> <br />bidding and price escalation, to determine <br /> <br />what <br /> <br />materials, equipment, component systems and types of construction <br /> <br />are <br /> <br />to <br /> <br />be <br /> <br />included <br /> <br />in <br /> <br />the construction contract documents, to make <br /> <br />reasonable <br /> <br />adjustments <br /> <br />in <br /> <br />the scope of the project and to include in <br /> <br />the <br /> <br />construction <br /> <br />contract <br /> <br />documents <br /> <br />alternate <br /> <br />bids <br /> <br />to <br /> <br />adjust the <br /> <br />construction <br /> <br />cost to the fixed limit. <br /> <br />The fixed limit of construction <br /> <br />cost <br /> <br />may <br /> <br />be increased by Owner. <br /> <br />Any such increase in the fixed limit <br /> <br />of <br /> <br />construction <br /> <br />cost <br /> <br />shall <br /> <br />not <br /> <br />result in increased compensation to <br /> <br />Engineer. <br /> <br />3.1.4 <br /> <br />If <br /> <br />the <br /> <br />lowest <br /> <br />bona <br /> <br />fide <br /> <br />bid <br /> <br />exceeds the Fixed Limit of <br /> <br />Construction <br /> <br />Cost <br /> <br />established <br /> <br />as <br /> <br />a condition of this Agreement, the <br /> <br />Owner <br /> <br />shall <br /> <br />(1) <br /> <br />give <br /> <br />written <br /> <br />approval of an increase in such fixed <br /> <br />-14- <br />
