<br />documents, <br /> <br />the <br /> <br />more <br /> <br />restrictive <br /> <br />and/or <br /> <br />burdensome provisions shall <br /> <br />govern and control. <br /> <br />11.2 The Engineer's Proposal is attached hereto, made a part <br />hereof, and incorporated herein for all purposes, and the Engineer <br />shall have such other duties and responsibilities and limitations of <br /> <br />authority <br /> <br />as <br /> <br />set <br /> <br />forth <br /> <br />therein. <br /> <br />However, in the event of conflict, <br /> <br />dispute <br /> <br />or <br /> <br />discrepancy <br /> <br />between <br /> <br />the provisions of this Agreement and <br /> <br />the <br /> <br />Engineer's <br /> <br />proposal <br /> <br />and/or <br /> <br />the construction contract documents, <br /> <br />the <br /> <br />more <br /> <br />restrictive <br /> <br />and/or <br /> <br />burdensome <br /> <br />provisions shall govern and <br /> <br />control. <br /> <br />ARTICLE 12 <br /> <br />BASIS OF COMPENSATION <br /> <br />The Owner shall compensate the Engineer for the Scope of Services <br /> <br />provided, in accordance with Article 4, Payments to the Engineer, <br /> <br />and the other terms and conditions of this Agreement, as follows: <br /> <br />12.1 BASIC COMPENSATION <br /> <br />12.1.1 <br /> <br />For <br /> <br />Basic <br /> <br />Services, <br /> <br />as <br /> <br />described in Sections 1.1 through <br /> <br />1.3, Basic Compensation shall be computed as follows: <br /> <br />A total fee not to exceed $65,000.00, payable as follows: <br /> <br />1. <br /> <br />Preliminary Phase -- $32,500.00. <br /> <br />A <br /> <br />maximum <br /> <br />of <br /> <br />$6,500.00 may be billed upon completion of the <br /> <br />first month of the Preliminary Phase; <br /> <br />A <br /> <br />maximum <br /> <br />of $10,725.00 may be billed upon completion of the <br /> <br />second month of the Preliminary Phase; and <br /> <br />A <br /> <br />maximum <br /> <br />of <br /> <br />$15,275.00 <br /> <br />may be billed upon delivery of the <br /> <br />final report for the Preliminary Phase. <br /> <br />-23- <br />
