<br />E. <br /> <br />City. <br /> <br />-10- 8 7 808 <br /> <br />In the event of termination pursuant to the provisions <br /> <br />of <br /> <br />this <br /> <br />paragraph, <br /> <br />the <br /> <br />otherwise <br /> <br />taxes <br /> <br />abated <br /> <br />for <br /> <br />the <br /> <br />calendar year in which default occurs shall be paid to the <br /> <br />City prior to the delinquency date for such year; provided, <br /> <br />that in no event shall this payment be due less than sixty <br /> <br />(60) days after the termination. <br /> <br />If Factory Stores, through its tenants, defaults with respect <br /> <br />to collection of City sales and use taxes, <br /> <br />in that these <br /> <br />collections are less than a cumulative projection contained <br /> <br />in <br /> <br />Section <br /> <br />above <br /> <br />II(C) <br /> <br />for <br /> <br />year-end <br /> <br />deadline, <br /> <br />then <br /> <br />any <br /> <br />Factory Stores shall pay to the City a sum of money equal to <br /> <br />the <br /> <br />shortfall <br /> <br />in <br /> <br />cumulative <br /> <br />collection <br /> <br />relative <br /> <br />to <br /> <br />such <br /> <br />projection; <br /> <br />provided, <br /> <br />that <br /> <br />in no event <br /> <br />shall <br /> <br />this <br /> <br />amount <br /> <br />exceed $100,000 regardless of the amount of shortfall. <br /> <br />In <br /> <br />addition, such default shall result in the tax abatement for <br /> <br />the <br /> <br />remainder <br /> <br />of <br /> <br />the <br /> <br />Abatement <br /> <br />Period <br /> <br />being <br /> <br />subject <br /> <br />to <br /> <br />termination by the City; provided, that if such default is <br /> <br />the result of a force majeure event, then the amount of tax <br /> <br />abatement <br /> <br />for the calendar year during which the default <br /> <br />occurs shall be reduced by the amount of the shortfall in <br /> <br />sales tax collection for such year, and such default shall <br /> <br />not give rise to termination of this Agreement by the City. <br /> <br />In the event of termination pursuant to the provisions of <br /> <br />this paragraph, the taxes otherwise abated for the calendar <br /> <br />year in which default occurs shall be paid to the City prior <br /> <br />to the delinquency date for such year; provided, that in no <br /> <br />event shall this payment be due less than sixty (60) days <br /> <br />after the termination. <br /> <br />If the Agreement is not terminated, <br />
