<br />R?7 <br />"J" ' <br /> <br />f) t'ì t <br />(: t", i) <br /> <br />-6- <br /> <br />as <br /> <br />provided <br /> <br />any <br /> <br />below, <br /> <br />fails <br /> <br />VF <br /> <br />comply <br /> <br />with <br /> <br />to <br /> <br />of <br /> <br />its <br /> <br />obligations under this Agreement except for those obligations <br /> <br />set forth in Sections II(A), <br /> <br />(B) and (C) and the obligation <br /> <br />to pay ad valorem taxes. <br /> <br />In the event that the City Council <br /> <br />determines <br /> <br />that <br /> <br />has <br /> <br />failed <br /> <br />VF <br /> <br />comply <br /> <br />with <br /> <br />to <br /> <br />any <br /> <br />such <br /> <br />obligation, the City Manager of the City shall notify VF in <br /> <br />writing <br /> <br />within <br /> <br />thirty <br /> <br />(30) <br /> <br />days <br /> <br />after <br /> <br />the <br /> <br />deadline <br /> <br />for <br /> <br />compliance with such obligation. <br /> <br />If <br /> <br />such failure <br /> <br />is <br /> <br />not <br /> <br />cured within sixty (60) days from the date of receipt of such <br /> <br />notice <br /> <br />(the <br /> <br />"Cure <br /> <br />"Period") , <br /> <br />then <br /> <br />this <br /> <br />may <br /> <br />be <br /> <br />Agreement <br /> <br />terminated by the City, provided however, that if the failure <br /> <br />to comply or to cure is the result of a force majeure event <br /> <br />and <br /> <br />VF cannot with due diligence remedy the failure within <br /> <br />the Cure Period, the Cure Period shall be extended if VF, <br /> <br />upon <br /> <br />receipt <br /> <br />VF's <br /> <br />of <br /> <br />such <br /> <br />notice, <br /> <br />advises <br /> <br />the <br /> <br />City <br /> <br />of <br /> <br />intention <br /> <br />institute <br /> <br />to <br /> <br />all <br /> <br />steps <br /> <br />cure <br /> <br />such <br /> <br />to <br /> <br />necessary <br /> <br />failure, <br /> <br />and if VF thereafter institutes and prosecutes to <br /> <br />completion such cure. <br /> <br />In the event of termination pursuant <br /> <br />to the provisions of this paragraph, the Tax Abatement for <br /> <br />the remainder of the Abatement Period shall terminate but <br /> <br />there shall be no recapture of prior years' taxes abated by <br /> <br />virtue of this Agreement. <br /> <br />The taxes otherwise abated for the <br /> <br />calendar year in which default occurs shall be paid to the <br /> <br />City prior to the delinquency date for such year; provided, <br /> <br />however, that in no event shall VF be required to pay such <br /> <br />taxes within less than sixty (60) days of the termination. <br /> <br />D. <br /> <br />If <br /> <br />and <br /> <br />defaults <br /> <br />with <br /> <br />VF <br /> <br />the <br /> <br />job <br /> <br />respect <br /> <br />to <br /> <br />creation <br /> <br />maintenance as specified in Section II(B) above for any <br />
