<br />O~Ff <br />U I-,; <br /> <br />r¡ <br /> <br />A <br /> <br />-7- <br /> <br />calendar year during the Abatement Period, <br /> <br />then for each <br /> <br />full-time job equivalent less than 44 created and maintained, <br /> <br />VF shall be required to pay to the City an amount of money <br />equal to 1/44 of the total accumulated amount of abated taxes <br /> <br />under this Agreement at the time default is declared by the <br /> <br />City Council. <br /> <br />Default with respect to job maintenance as <br /> <br />specified <br /> <br />in <br /> <br />Section <br /> <br />above <br /> <br />shall <br /> <br />consist <br /> <br />II(B) <br /> <br />of <br /> <br />VF <br /> <br />maintaining fewer than 44 full-time job equivalents during <br /> <br />anyone calendar year. <br /> <br />In addition, any such default shall <br /> <br />result <br /> <br />the <br /> <br />in <br /> <br />abatement <br /> <br />for <br /> <br />the <br /> <br />remainder <br /> <br />of <br /> <br />tax <br /> <br />the <br /> <br />Abatement Period being subject to termination by the City; <br /> <br />provided, <br /> <br />that <br /> <br />such default is <br /> <br />if <br /> <br />the result of <br /> <br />a <br /> <br />force <br /> <br />majeure event, then the amount of the tax abatement for the <br /> <br />calendar year during which default occurs shall be reduced by <br /> <br />the fractional proportion applicable to such year as stated <br /> <br />above, and such default shall not give rise to termination of <br /> <br />this Agreement by the Ci ty . <br /> <br />In the event of termination <br /> <br />pursuant <br /> <br />the <br /> <br />taxes <br /> <br />provisions <br /> <br />of <br /> <br />this <br /> <br />paragraph, <br /> <br />the <br /> <br />to <br /> <br />otherwise <br /> <br />abated <br /> <br />the <br /> <br />for <br /> <br />calendar year <br /> <br />in which <br /> <br />default <br /> <br />occurs shall be paid to the City prior to the delinquency <br /> <br />date for such year; provided, that in no event shall this <br /> <br />payment <br /> <br />be <br /> <br />the <br /> <br />due <br /> <br />less <br /> <br />than <br /> <br />sixty <br /> <br />(60) <br /> <br />days <br /> <br />after <br /> <br />termination. <br /> <br />E. <br /> <br />If VF defaults with respect to collection of City Sales and <br /> <br />Use <br /> <br />in <br /> <br />a <br /> <br />that <br /> <br />these <br /> <br />collections <br /> <br />taxes, <br /> <br />less <br /> <br />than <br /> <br />are <br /> <br />cumulative projection contained in Section II(C) <br /> <br />above for <br /> <br />any year-end deadline, then VF shall pay the City a sum of <br /> <br />money equal to the cumulative shortfall in collection <br />
