' <br /> <br />û" <br />(; is' <br /> <br />-8- <br /> <br />relative to such projection, provided, that in no event shall <br /> <br />this <br /> <br />exceed <br /> <br />$25,000 <br /> <br />amount <br /> <br />regardless <br /> <br />of <br /> <br />the <br /> <br />amount <br /> <br />of <br /> <br />shortfall. <br /> <br />In addition, any such default shall result in the <br /> <br />tax abatement for the remainder of the Abatement Period being <br /> <br />subject to termination by the City; provided, that if such <br /> <br />default is the result of a force majeure event, <br /> <br />then the <br /> <br />amount of tax abatement for the calendar year during which <br /> <br />the default occurs shall be reduced by the amount of the <br /> <br />shortfall in sales tax collection for such year, <br /> <br />and such <br /> <br />default shall not give rise to termination of this agreement <br /> <br />by the City. <br /> <br />In the event of termination pursuant to the <br /> <br />provisions of this paragraph, the taxes otherwise abated for <br /> <br />the calendar year in which default occurs shall be paid to <br /> <br />the <br /> <br />City <br /> <br />prior <br /> <br />the <br /> <br />delinquency <br /> <br />to <br /> <br />date <br /> <br />for <br /> <br />such <br /> <br />year; <br /> <br />provided, <br /> <br />that in no event shall this payment be due less <br /> <br />than sixty (60) days after the termination. <br /> <br />If the Agreement <br /> <br />is not terminated, then the amount paid under this paragraph <br /> <br />shall <br /> <br />be <br /> <br />considered a collection of <br /> <br />sales <br /> <br />for <br /> <br />the <br /> <br />taxes <br /> <br />purpose <br /> <br />of <br /> <br />II (C) <br /> <br />in <br /> <br />determining <br /> <br />compliance <br /> <br />with <br /> <br />Section <br /> <br />subsequent years of this Agreement. <br /> <br />F. <br /> <br />If the City declares that VF is in default with respect to <br /> <br />this <br /> <br />and <br /> <br />Agreement <br /> <br />thereafter <br /> <br />the <br /> <br />City <br /> <br />terminates <br /> <br />this <br /> <br />Agreement, in whole or in part, VF agrees to pay to the City <br /> <br />the value of all fee waivers provided for in Section VI, <br /> <br />below, provided, that this amount shall be reduced by twenty <br /> <br />percent <br /> <br />(20%) <br /> <br />starting wi th <br /> <br />for each <br /> <br />full calendar year, <br /> <br />1991, in which VF fully performs its obligations under this <br /> <br />Agreement. <br /> <br />VF agrees to make this payment in full within <br />
