<br />-14- <br /> <br />Q<) <br />(~ (, <br /> <br />Or:' <br />(, . <br /> <br />XII. <br /> <br />AUTHORIZATION BY VF <br /> <br />This <br /> <br />Agreement <br /> <br />was <br /> <br />entered <br /> <br />into <br /> <br />by VF <br /> <br />pursuant <br /> <br />to <br /> <br />authority <br />, 19 <br /> <br />, <br /> <br />granted by its Board of Directors on the <br /> <br />day of <br /> <br />whereby one or more officers of VF were authorized to execute this <br /> <br />Agreement on behalf of VF, a certified copy of which authorization is <br /> <br />~ttached hereto as Exhibit B. <br /> <br />XIII. <br /> <br />SEVERABILITY <br /> <br />In the event any section, subsection, paragraph, sentence, phrase <br /> <br />or word is held invalid, illegal or unconstitutional, the balance of <br /> <br />this Agreement shall stand, shall be enforceable and shall be read as <br /> <br />if the parties intended at all times to delete said invalid section, <br /> <br />subsection, paragraph, sentence, phrase or word. <br /> <br />XIV. <br /> <br />APPLICABLE LAW <br /> <br />This Agreement shall be construed under the laws of the State of <br /> <br />Texas. <br /> <br />Venue for any action under this Agreement shall be in the State <br /> <br />District Court of Hays County, Texas. <br /> <br />This Agreement is performable in <br /> <br />Hays County, Texas. <br /> <br />XV. <br /> <br />RECORDATION OF AGREEMENT <br /> <br />A certified copy of this Agreement in recordable form shall be <br /> <br />recorded in the Deed Records of Hays County, Texas, by or on behalf of <br /> <br />the City of San Marcos. <br /> <br />XVI. <br /> <br />CONSTRUCTION <br />
