<br />ASSIGNMENT OF LEASE <br /> <br />STATE OF TEXAS <br /> <br />KNOW ALL PERSONS BY THESE PRESENTS: <br /> <br />COUNTIES OF HAYS AND CALDWELL <br /> <br />Names of Parties <br /> <br />This Agreement is made between John J. Stokes, Sr., an individual, <br /> <br />called "Assignor" in this agreement and McKEE AVIATION, <br /> <br />INC., a <br /> <br />Texas <br /> <br />Corporation, called the "Assignee" in this agreement. <br /> <br />Rec i tals <br /> <br />WHEREAS, <br /> <br />a Lease <br /> <br />was executed on July 29, 1986, between the City <br /> <br />of San Marcos, as <br /> <br />the <br /> <br />Lessor <br /> <br />and <br /> <br />the <br /> <br />Assignor as <br /> <br />Lessee, <br /> <br />leasing <br /> <br />certain described property for a certain term and certain consideration <br /> <br />as more fully described in a copy of the Lease which is attached hereto <br /> <br />and incorporated by reference herein as Exhibit "A"; and, <br /> <br />WHEREAS, <br /> <br />this lease was subsequently amended by <br /> <br />Lease <br /> <br />Amendment <br /> <br />Number <br /> <br />One dated <br /> <br />July 25,1988, a copy of which is attached hereto as <br /> <br />Exhibit "B"; and, <br /> <br />WHEREAS, the Assignor now desires to assign the Lease, as amended, <br /> <br />to <br /> <br />the <br /> <br />Assignee, <br /> <br />and <br /> <br />the Assianee desires to accept the assignment: <br /> <br />Assignment <br /> <br />In consideration of the execution of one certain <br /> <br />promissory <br /> <br />note <br /> <br />of even date herewith payable as therein provided, and the agreement of <br /> <br />the <br /> <br />.Assignee <br /> <br />as set forth below, the Assignor assigns to the Assignee <br /> <br />and the Assignee's heirs, executors, administrators, and <br /> <br />assigns, <br /> <br />all <br /> <br />right, <br /> <br />title, <br /> <br />and <br /> <br />interest <br /> <br />in <br /> <br />and <br /> <br />to <br /> <br />the <br /> <br />lease described above, <br /> <br />together with all leasehold improvements thereon subject to <br /> <br />the <br /> <br />terms <br />
