<br />-2- <br /> <br />of <br /> <br />said lease. <br /> <br />The Assignee accepts this assignment and, in addition, <br /> <br />expressly assumes and agrees to perform <br /> <br />and <br /> <br />fulfill <br /> <br />all <br /> <br />the <br /> <br />terms, <br /> <br />covenants, <br /> <br />conditions, and obligations required by the Assignor as the <br /> <br />Lessee under that Lease, including the making of all payments due to or <br /> <br />payable on behalf of the Lessor when due and payable. <br /> <br />Notwithstanding <br /> <br />the <br /> <br />above <br /> <br />all <br /> <br />the parties hereto acknowledge that this assignment is <br /> <br />conditional upon Assignee's fully <br /> <br />meeting <br /> <br />the <br /> <br />terms of <br /> <br />said <br /> <br />master <br /> <br />Lease <br /> <br />described <br /> <br />in <br /> <br />Exhibit "A" as therein provided and as amended in <br /> <br />Exhibit <br /> <br />"B" <br /> <br />and obligations set forth in the <br /> <br />promissory <br /> <br />note herein <br /> <br />described <br /> <br />above failing which this assignment shall be held to be null <br /> <br />and void. <br /> <br />Assignee shall not <br /> <br />assign or <br /> <br />sublease <br /> <br />this <br /> <br />Lease without <br /> <br />first <br /> <br />obtaining <br /> <br />the prior written approval of the Assignor and of the <br /> <br />City of San Marcos. <br /> <br />Upon full and complete <br /> <br />payment <br /> <br />by <br /> <br />Assignee <br /> <br />of <br /> <br />the <br /> <br />note <br /> <br />described <br /> <br />herein, <br /> <br />according to the terms thereof, this <br /> <br />Assignment shall become absolute. <br /> <br />Binding on Successors <br /> <br />This agreement shall be binding on and inure to the benefit of the <br /> <br />parties to this <br /> <br />agreement, <br /> <br />their <br /> <br />heirs, <br /> <br />executors, <br /> <br />administrators, <br /> <br />successors in interest, and assigns. <br /> <br />DATED this <br /> <br />13 <br /> <br />day of <br /> <br />February <br /> <br />, 1990. <br /> <br /> <br />oRes, Sr. <br />P.O. \LJC)"¡ Co ~ g <br />";Ctn Ma r-~o~ .
