<br />demands, <br /> <br />or <br /> <br />causes <br /> <br />of <br /> <br />action <br /> <br />of <br /> <br />every <br /> <br />character <br /> <br />occurring, <br /> <br />resulting, <br /> <br />or <br /> <br />arising from Consultant's negligent act or omission, <br /> <br />or <br /> <br />other <br /> <br />conduct <br /> <br />or <br /> <br />activity <br /> <br />violative <br /> <br />of the applicable legal <br /> <br />standard, <br /> <br />or <br /> <br />by any combination of the foregoing, which is a cause <br /> <br />of <br /> <br />or <br /> <br />contribution <br /> <br />to <br /> <br />the <br /> <br />loss, cost, damage, or expense. <br /> <br />This <br /> <br />shall <br /> <br />include, <br /> <br />but <br /> <br />not <br /> <br />be limited to, the amounts of judgements, <br /> <br />penalties, <br /> <br />interests, <br /> <br />court <br /> <br />costs, <br /> <br />legal <br /> <br />fees, <br /> <br />and <br /> <br />all <br /> <br />other <br /> <br />expenses <br /> <br />incurred <br /> <br />by <br /> <br />the <br /> <br />Owner <br /> <br />because <br /> <br />of <br /> <br />such act, omission, <br /> <br />conduct, or activity. <br /> <br />This indemnity provision shall not be limited by reason of the <br /> <br />specification <br /> <br />of <br /> <br />any <br /> <br />particular <br /> <br />insurance <br /> <br />coverage <br /> <br />in <br /> <br />this <br /> <br />agreement. <br /> <br />Consultant <br /> <br />further <br /> <br />agrees <br /> <br />to <br /> <br />obtain <br /> <br />from <br /> <br />its <br /> <br />contractors, <br /> <br />subcontractors <br /> <br />and <br /> <br />consultants, <br /> <br />if <br /> <br />any, <br /> <br />the <br /> <br />same <br /> <br />indemnification <br /> <br />provision <br /> <br />in <br /> <br />writing <br /> <br />with <br /> <br />respect <br /> <br />to <br /> <br />Owner as <br /> <br />stated hereinabove. <br /> <br />7.4 <br /> <br />The <br /> <br />Owner <br /> <br />hereby agrees, to the fullest extent allowed by <br /> <br />law, <br /> <br />to <br /> <br />indemnify, <br /> <br />defend <br /> <br />and <br /> <br />hold harmless the Consultant, its <br /> <br />affiliates, <br /> <br />and <br /> <br />their <br /> <br />respective <br /> <br />officers, employees, agents and <br /> <br />subcontractors <br /> <br />from <br /> <br />and against all claims and actions, losses and <br /> <br />liabilities <br /> <br />including <br /> <br />all <br /> <br />expenses and attorneys fees, incidental <br /> <br />to <br /> <br />any <br /> <br />claim <br /> <br />or <br /> <br />action, <br /> <br />based on, or arising out of, damages or <br /> <br />injuries <br /> <br />to <br /> <br />persons <br /> <br />or property caused by, or arising out of, any <br /> <br />hazardous <br /> <br />and/or <br /> <br />toxic <br /> <br />substances <br /> <br />present <br /> <br />at the site where the <br /> <br />Consultant <br /> <br />and/or its subcontractors have perførmed work, except if <br /> <br />such <br /> <br />loss, <br /> <br />damage <br /> <br />or injuries were caused or alleged to be caused <br /> <br />by the negligence or willful misconduct of the Consultant, its <br /> <br />-8- <br />
