168 CONSULTING SERVICES AGREEMENT STATE OF TEXAS KNOW ALL PERSONS BY THESE PRESENTS CITY OF SAN MARCOS THIS AGREEMENT is made this the 24th day of April , 19~, between the City of San Marcos, Texas (" OWNER" ), 630 E. Hopkins, San Marcos, TX 78666, and CHARLES WILLIS & ASSOCIATES, INC. ( "CONSULTANT" ), 709-B West Abram Street, Arlington, Texas 76013 for the design and project management for the reconstruction of Runway 8-26 and related improvements to the San Marcos Municipal Airport (" PROJECT" ). WITNESSETH: OWNER and ARCHITECT do hereby agree as follows: ARTICLE 1 DEFINITION OF TERMS 1.1 Construction Costs are defined as the total cost to the OWNER for the execution of the work authorized at one time, and handled in each separate phase of engineering services, excluding charges or other costs for consulting and legal services, the cost of land, rights-of-way, legal and administrative expenses ¡but including the direct cost to the OWNER of all construction contracts, items of construction, including labor, materials, equipment required for the completed work (including extras), and the total value at site of the PROJECT of all labor, materials, and equipment purchased or furnished directly by the OWNER for the PROJECT. 1.2 Direct Salary is defined as the cost of salaries of officers, engineers, draftsmen, stenographers, surveymen, clerks, laborers, etc., for time directly chargeable to the PROJECT. 1.3 Reimbursable Expense is defined as all expenses incurred by the CONSULTANT which are directly chargeable to the PROJECT, which in general includes expenses for supplies, transportation, equipment, travel communications, subsistence, and lodging away from home, field office expenses, reproduction, and similar incidentals. ARTICLE 2 EMPLOYMENT OF THE CONSULTANT 2.1 The OWNER agrees to retain the CONSULTANT, and the CONSULTANT agrees to perform the professional consulting services in connection with the PROJECT as set forth in the following sections, and the OWNER agrees to pay, and the CONSULTANT agrees to accept fees as specified as full and final compensation for the work completed.
