<br /> or make any use for Grantee's benefit of any such information ob- <br /> tained from Subzone Operator, whether written, oral or observed. <br /> Subzone Operator shall notify Grantee and Grantee shall likewise <br /> notify Subzone Operator in writing not less than five (5) days in <br /> advance of any meeting with personnel of the U.S. Customs Service <br /> or of the Department of Commerce regarding Subzone Operator or <br /> its operations, except as to meetings by Customs with Grantee <br /> which are initiated by Customs, in which event Grantee will use <br /> its best efforts to notify Subzone Operator of such meeting. The <br /> notifying party shall furnish the other party with a summary of <br /> matters proposed to be discussed at such meeting. <br /> X. <br /> Subzone Operator will protect, indemnify, defend and hold <br /> harmless, the Grantee, its Commissioners, employees and agents, <br /> from any and all liability, cost, expense, damage or loss of <br /> whatever nature (including, but not limited to (i) damages for <br /> injury to persons or property, (ii) any and all damages, duties, <br /> fines, penalties, taxes, charges or liquidated damages incurred <br /> or paid by Grantee to the U.S. Customs Service, or other regula- <br /> tory agencies, (iii) interest, attorneys' fees and other costs of <br /> litigation, or (iv) claims made by any taxing authority for loss <br /> of tax revenue), directly or indirectly resulting from, arising <br /> out of, in connection with, or related to the establishment of <br /> the Premises as a subzone, or Subzone Operator's acts or omis- <br /> sions as a Subzone Operator or pursuant to this agreement. <br /> -6- <br />
