<br /> 2. That LESSOR has good title to said leased premises, and
<br /> the real property upon which they are located, and that
<br /> LESSEE, upon paying the rentals herein provided for and
<br /> observing, performing and keeping all and singular the
<br /> covenants and agreements herein specified to be kept and
<br /> performed by LESSEE shall, and may lawfully, peacefully,
<br /> quietly and exclusively have, hold, use, occupy, possess
<br /> and enjoy the premises hereby leased for and during the
<br /> term hereof, without any hindrance, eviction,
<br /> molestation, or interruption of or by the LESSOR, or
<br /> other person or persons.
<br /> 3. That LESSOR shall, at LESSOR's expense, keep said leased
<br /> premises and appurtenances, including but not limited to,
<br /> all walls, doors, roof, foundation, plate glass,
<br /> downspouts, sewer servlce, water service, electrical
<br /> service, heating and air conditioning and ventilation
<br /> systems and equipment, plumbing, parking and service
<br /> areas in reasonably safe condition and in good repair and
<br /> proper working order during the entire term of this lease
<br /> and shall make all necessary repairs to the leased
<br /> premises not made necessary by negligent acts of LESSEE.
<br /> LESSOR shall ensure that the electrical installation and
<br /> wiring meet applicable state and local laws, ordinances,
<br /> regulations and standards and that electrical outlets are
<br /> property spaced, in accordance with said standards, to
<br /> afford maximum use of the office space.
<br /> 4. That LESSOR agrees to hold harmless and indemnify LESSEE
<br /> from any and all claims of other for injuries to persons
<br /> or property arising out of defects in or dangerous
<br /> conditions of the leased premises (provided, however,
<br /> that if LESSEE has knowle~ge of a dangerous condition or
<br /> a defect which LESSOR could not otherwise know about,
<br /> LESSEE must notify LESSOR of such dangerous condition or
<br /> defect as soon as possible after learning of such
<br /> condition or defect).
<br /> 5. That if any public authority condemns the leased premises
<br /> or any part thereof as being unsafe, or not in conformity
<br /> with applicable laws and regulations, the LESSOR, at its
<br /> own cost and expense, will promptly make such changes,
<br /> alterations or repairs, as may be necessary to comply
<br /> with such laws and regulations, or with the requirements
<br /> of the public authority. If, during the time such
<br /> changes, alterations or repairs are being performed, the
<br /> leased premises are rendered unsuitable for occupancy and
<br /> use by the LESSEE, the rent shall abate, and if only a
<br /> portion of the leased premises is rendered unsuitable for
<br /> such occupancy and use, then the rent shall abate
<br /> proportionately. Provided, however, in the event the
<br /> leased premises or any part thereof are condemned as
