ASSIGNMENT OF RIGHTS IN PROJECT BUILDINGS STATE OF TEXAS COUNTY OF CALDWELL WHEREAS, the City of San Marcos, a Municipal corporation of the State of Texas, hereinafter referred to as "City", and the United States of America, acting by and through the U. S. Department of Labor herei nafter referred to as "DOL", entered into an agreement dated April 8, 1988, providing for the acquisition of certa in DOL 1 and at the Gary Job Center in San Marcos, Texas through the implementation of a buildings for land transfer; and, WHEREAS, the City agreed to construct certain improvements, hereinafter referred to as "project bui ldings," on remaining 1 and at the Gary Job Corps Center and assign its rights in the buildings to the DOL; and, WHEREAS, the DOL agrees to transfer title to approximately 42.46 acres of land at the Gary Job Corps Center to the City; and, WHEREAS, the DOL agrees that the City has fulfilled its obligations under all agreements between the DOL and the City pertaining to the project buildings and the buildings for land transfer, NOW, THEREFORE, IT IS HEREBY AGREED BETWEEN THE CITY AND THE DOL AS FOLLOWS: 1. In consideration of the transfer by the DOL of title to approximately 42.46 acres of land at the Gary Job Corps Center, the City assigns to the DOL and its successors and assigns, all the City's rights, title and interest in the project buildings. 2. As further consideration by the DOL, and as previously agreed by the City and the DOL, the DOL does hereby r~lease the City from all subsequent liability regarding the project buildings and regarding all agreements between the City and the DOL pertaining to the project buildings and the buildings for land transfer.
