and covered by such cost projections pursuant to the terms and conditions of this Agreement. It is understood and agreed that Contractor shall provide Owner periodically, and not more frequently than weekly, with detailed and itemized invoices for Work that has been performed hereunder. Owner agrees to assign the highest priority for the prompt review, approval and payment of such invoices and shall remit to Contractor the full amount of each such invoice, less any reasonably disputed amounts that are specified by Owner in writing, within ten (10) days of Owner's receipt thereof. In the event any such invoice is not paid in full within ten (10) days following Owner's receipt thereof, Owner agrees to pay Contractor a finance charge at the rate of 1. 0% per month or 12.0% per year on the unpaid balance. 5. Term of Aqreement. This Agreement shall commence as of the date hereof, and shall continue unless and until terminated by either party hereto upon not less than thirty (30) days prior written notice. Upon any such termination of this Agreement by Owner, Contractor shall be fully compensated for all Work performed through the effective termination date, and Owner agrees to pay and reimburse Contractor for the cost of removal and transportation from the Project Site to the point of origination of all of Contractor's materials, supplies and equipment not incorporated into the Work as of such date. This Agreement shall be considered fully performed upon written notice from Contractor to Owner that the Work has been completed and that the Plan has been successfully implemented in accordance with this Agreement. This Agreement and the Work shall in any event be deemed completed by Contractor at such time as water samples from the Project Site taken by Contractor using methods described in the Report reflect Benzene levels of not more than .005/mg/l as set forth on Figure 4 to the Report and BTEX less than or equal to Ippm in soil and water. 6. Requlatorv Aqencv Filihqs. Owner and Contractor hereby agree that Owner shall make all necessary filings required pursuant to applicable underground storage tanks rules and regulations of the Texas Water Commission and other regulatory agencies having jurisdiction. 7. Force Maieure. The Work and schedule for the completion of the Work by Contractor may be modified and extended by the occurance of an event of force maieure which is hereby agreed to be any delay or other adverse material result in the completion or performance of Work arising from causes beyond the control and without the fault or negligence of the Contractor, the Primary Subcontractor and their respective subcontractors and suppliers, including but not limited to acts of God, acts of public enemy, acts or failure to act of the - 3 -
