12. Confidentiality. The Contractor shall not disclose any non-public or confidential information concerning this Agreement, the Project Site or the Work, or release any publicity or other written information with respect thereto wi thout first submitting such proposed disclosure or release for review by the Owner and obtaining approval for the release thereof from the Owner; provided, however, that the Contractor and the Primary subcontractor may disclose to their respective employees, subcontractors, suppliers, consultants, and the Texas Water Commission such information as may be necessary or desirable in connection with the performance of the Work. 13. Hold Harmless/Indemnification. The parties hereto hereby agree to hold each other and their respective employees, agents, officers and servants free and harmless from any and all losses, claims, demands and causes of action of every kind, including judgments, penalties, interests, court costs, legal fees, and all other expenses incurred by either party arising in favor of any party, including the amounts of any damages or awards resulting from claims, demands and causes of action for personal injuries, death or damages to property and without limitation by enumeration, all other claims, demands, or causes of action of every character occurring, resulting, or arising form any negligent or intentional wrongful act, error or omission of the other party and/or its agents and/or employees with respect to this Agreement, the Project Site or the Work. The foregoing ho Id harmless provisions shall not be limited by reason of the specification of any particular insurance coverage in this Agreement. Contractor further agrees to obtain from its contractors, subcontractors and consultants, if any, the same hold harmless provisions in writing of Owner as stated hereinabove. Contractor shall indemnify, defend and hold harmless the Owner from and against all claims, causes of action or suits of whatever nature arising with respect to any and all laborers, materialmen's and mechanic's liens upon the Project Site, and Contractor shall keep the Project Site free and clear of any such liens, claims and encumbrances arising from the performance of this Agreement by Contractor, the Primary Subcontractor or their respective subcontractors and suppliers. 14. Insurance. Contractor agrees to procure and maintain at Contractor's expense until final payment by the Owner for services covered by this Agreement, insurance in the kinds (including product-comp/operations coverage) and amounts and with insurance companies as set forth on that certain Certificate of Insurance attached to this Agreement. 15. Equal Emplovrnent Opportunity and Nondiscrimination. Contractor and its subcontractors shall comply with all applicable equal employment opportunity and nondiscrimination laws and regulations. - 5 -
