<br />incurred or to be incurred in connection with them and any other <br />matters covered by this AGREEMENTS. <br />D. Records and Audits. EPS shall maintain accounts and records <br />(including personnel~ property and financial record s) adequate to <br />identify an account for all costs pertaining to the AGREEMENT and <br />such other records as may be deemed necessary by the City to <br />assure proper accounting for all project funds both federal and <br />non-federal shares. These records will be made available for <br />audit purposes to City or any authorized representative, and will <br />be retained for three (3) years after the expiration of City's <br />contract with the Texas Department of Commerce unless permission <br />to destroy before that is granted by City. <br />E. Compliance with laws. EPS shall perform all activities that <br />are required of it under this AGREEMENT in accordance with the <br />terms of the APPLICABLE LAWS AND REGULATIONS, hereinafter referred <br />to as Exhibit "B", which is attached hereto and made a part hereof <br />for all purposes. <br />F. Insurance. EPS shall file with the City certificates of such <br />insurance required in this AGREEMENT acceptable to City within <br />sixty (6Ø) days of the execution of the City's contract with the <br />Sta te. The certificates shall contain a provision that the <br />coverage afforded under the policies will not be cancelled or <br />materially changed until at least thirty (3Ø) days written notice <br />has been given to City. <br />G. Equal Opportunity: During the performance of this AGREEMENT, <br />EPS agrees as follows: <br /> a. EPS will not discriminate against any employee or <br /> applicant for employment because of race, creed, sex, color, <br /> or national origin. EPS will take affirmative action to <br /> ensure that applicants are employed, and that employees are <br /> treated during employment, without regard to their race, <br /> creed, sex, color, or national origin. Such action shall <br /> include, but not be limited to, the following: employment, <br /> upgrading, demotion, or transfer; recruitment or recruitment <br /> advertising; and, selection for training, including <br /> apprenticeship. EPS agrees to post in conspicuous places <br /> available to employees and applicants for employment, notices <br /> to be provided by City setting forth the provisions of this <br /> non-discrimination clause. <br /> b. EPS in all solicitations nor advertisements for employees <br /> placed by or on behalf of EPS, shall state that all qualified <br /> applicants will receive consideration for employment without <br /> regard to race, creed, sex, color, or national origin. <br /> -6- <br />
