Insurance carriers insuring Lessee in <br /> accordance herewith which are not rated by the most recent <br /> edition of Best's Key Rating Guide. property-Casualty, <br /> <br /> published by A.M. Best Company, or insurance carriers having <br /> a rating lower than B+VII as shown in the most recent edition <br /> of said book, will not be approved by the City unless a <br /> guaranty bond acceptable to said City from a carrier rated <br /> B+VII or higher guaranteeing payment of any and all claims <br /> against Lessee is furnished to the City. <br /> All insurance required under this Paragraph 10 shall be <br /> written with the City of San Marcos as an additional <br /> insured. The stated limits of insurance required by this <br /> Paragraph 10. are MINIMUM ONLY and it shall be Lessee's <br /> responsibility to determine what limits are adequate. These <br /> minimum limits may be basic policy limits or any combination <br /> of basic limits and umbrella limits. In any event, Lessee is <br /> fully responsible for all losses arising out of, resulting <br /> from or connected with operations under this Agreement <br /> whether or not said losses are covered by insurance. The <br /> City's acceptance of Certificates of Insurance that in any <br /> respect do not comply with the Agreement requirements does <br /> not release Lessee from compliance herewith. <br /> All insurance required under this Paragraph 10 shall be <br /> primary over any other insurance coverage the City of San <br /> Marcos may have. <br /> 11. Indemnity And Hold Harmless. <br /> A. Lessee shall indemnify Lessor and save it harmless from <br /> suits, actions, damages, liability and expense in connection <br /> with the loss of life, bodily or personal injury or property <br /> damage arising from or out of any occurrence in or upon the <br /> demised premises or from the occupancy or the use by Lessee <br /> of said premises or any part thereof, or occasioned wholly or <br /> in part by any act or omission of Lessee, its agents, <br /> contractors, employees, servants, invitees, licensees or <br /> -7- <br />
