<br /> CONSULTING SERVICES AGREEMENT
<br /> STATE OF TEXAS §
<br /> CITY OF SAN MARCOS §
<br /> THIS AGREEMENT, made and executed this 20 day of May ,
<br /> 19 86 , by and between the City of San Marcos, Texas, organized and
<br /> existing under the laws of the State of Texas and acting through its
<br /> Mayor, hereunto duly author ized, and hereafter called the OWNER, and
<br /> Charles Willis & Associates, I nc ., hereinafter called the CONSULTANT.
<br /> WHEREAS, the OWNER desires to obtain consulting services in
<br /> connection with the construction of certain airport improvements,
<br /> hereinafter called the PROJECT.
<br /> WHEREAS, the OWNER desires to obtain pro fe ss ional consulting
<br /> serv ices in connection with the PROJECT to make studies, to design the
<br /> contemplated improvements, to prepare plans and specifications for
<br /> construction, and to provide administration of construction, and if
<br /> required by OWNER, to prov ide full-time construction inspection.
<br /> WHEREAS, the CONSULTANT is qualified and capable of performing the
<br /> professional services proposed herein, is acceptable to the OWNER, and
<br /> is willing to enter into a contract with the OWNER to perform such
<br /> serv ~ces.
<br /> NOW, THEREFORE, be it resolved that the parties hereto do mutually
<br /> agree as follows:

<br /> DEFINITION OF TE~
<br /> 1.1 Construction Costs are defined as the total cost to the OWNER
<br /> for the execution of the work authorized at one time, and handl ed in
<br /> each separate phase of engineering services, excl uding charges or other
<br /> costs for consulting and legal services, the cost of land,
<br /> rights-of-way, legal and administrative expenses~ but incl uding the
<br /> direct cost to the OWNER of all construction contracts, items of
<br /> construction, including labor, materials, equipment required for the
<br /> completed work (including extras), and the total val ue at site of
<br /> PROJECT of all labor, materials, and equipment purchased or furnished
<br /> d~rectly by the OWNER for the PROJECT.
<br /> 1.2 Direct Sal ary is defined as the cost of salaries of officers,
<br /> engineers, draftsmen, stenographers, surveymen, clerks, laborers, etc.,
<br /> for time directly chargeable to the PROJECT.
<br /> 1.3 Reimbursable Expense is defined as all expenses incurred by
<br /> the CONSULTANT which are directly chargeable to the PROJECT, which in
<br /> general include expenses for supplies, transportation, equipment,
<br /> travel communications, subsistence, and lodging away from home, field
<br /> office expenses, reproduction, and similar incidental s.
