With a copy to: <br /> Accounting Manager <br /> 630 East Hopkins Street <br /> San Marcos, Texas 78666 <br /> Email: <br /> (d) Reviews -- Sub-Recipient shall cooperate in and comply with any and all <br /> management reviews,triennial reviews,financial audits, and compliance reviews that City <br /> or FTA may undertake with regard to the Project. <br /> 12.2 Sub-Recipient shall promptly notify City, in writing, any time the transportation <br /> services being funded under this Agreement will be negatively impacted, including problems, <br /> delays or adverse conditions that will materially affect Sub-Recipient's ability to purchase buses <br /> identified and/or provide transportation services contracted for under this Agreement. This <br /> disclosure shall be accompanied by a statement of the action taken or contemplated by Sub <br /> Recipient. <br /> 12.3 With regard to reports, Sub-Recipient agrees to submit to City all reports required <br /> by Federal laws, regulations, and directives, this Agreement, and any other reports City or FTA <br /> may specify. All reports and other documents or information intended for public availability <br /> developed in the course of the Project and required to be submitted to City or FTA must be <br /> prepared and submitted in electronic and or typewritten hard copy formats as City or FTA may <br /> specify. As part of the audit requirements under Article VI of this Agreement, during the course <br /> of the Project and for four(4)years thereafter from the date of transmission of the final expenditure <br /> report, Sub-Recipient agrees to maintain intact and readily accessible all data, documents,reports, <br /> records, contracts,and supporting materials relating to the Project as the Federal Government may <br /> require. <br /> 12.4 Sub-Recipient agrees to permit the U.S. Secretary of Transportation and the <br /> Comptroller General of the United States, or their authorized representatives, upon request to <br /> examine and inspect all Project records, documents, and papers, including contracts, related to the <br /> Project as required by 49 U.S.C. § 5325(9). <br /> XIII. DISPUTES <br /> 13.1 (a) General Requirement -- Any dispute arising under or related to this <br /> Agreement which is not disposed of by agreement between City and the Sub-Recipient shall be <br /> decided in accordance with the provisions of this Section,provided that,by mutual agreement,the <br /> matter may be taken immediately to any higher step in the dispute resolution process or to <br /> litigation. Pending final resolution of a dispute, Sub-Recipient shall proceed diligently with the <br />
