ARTICLE III <br /> AMENDMENTS <br /> Any amendments to this Agreement shall be in writing and executed by a duly authorized <br /> representative of each of the Parties and approved by City Council. <br /> ARTICLE IV <br /> TERM OF AGREEMENT <br /> This Agreement shall be effective on the Effective Date first shown above and shall <br /> continue for a term of five (5) years and or the life cycle of the Project, subject to automatic one- <br /> year renewals unless terminated by either Party at least 60 days before the end of the then-current <br /> renewal period. Either Party may terminate this Agreement for convenience by providing at least <br /> one hundred eighty (180) days' written notice of termination to the other Party. The Federal <br /> Funding Master Agreement and Grant Agreement signed by Texas State shall remain in effect as <br /> agreed upon in the Subrecipient Funding Agreement related to any Projects in process. <br /> Notwithstanding the foregoing, Projects that were in process prior to the termination date shall be <br /> subject to the protocols of this Agreement until the Project is either finally approved or mutually <br /> abandoned, or the Parties reach an impasse using the protocols herein. Sharing of future federal <br /> fund apportionments may be considered in this Agreement through amendment and approval of <br /> City Council. <br /> ARTICLE V <br /> NOTICES <br /> All notices or other communications which are required or permitted hereunder shall be in <br /> writing and shall be deemed properly delivered if sent by U.S. Mail return receipt requested, a <br /> nationally recognized overnight courier service, hand delivery or by email to the following: <br />
