The Parties agree and understand that any assignment of Carma's rights hereunder shall <br />comply with all applicable TCEQ, City and other governmental requirements and procedures. <br />ARTICLE II <br />The Project <br />2.01 Description. The "Project" or the "Paso Robles Project" as those terms are used <br />in this Agreement means the development of PASO ROBLES COMMUNITY located on the <br />Property. The Project is the development of the Property into a mixed use residential, <br />commercial, and retail project as depicted on the Concept Plan and described in the PDD <br />Regulations and the construction of the necessary utility, street, street lighting and drainage <br />infrastructure to serve such development as shown on the Concept Plan and described in the <br />PDD Regulations. The Project includes approximately 1338.5 acres. <br />The Project shall include the construction of all public and private streets internal to the <br />Project, if any, as well as certain driveways, boundary street improvements, sidewalks, drainage <br />and other infrastructure improvements within or adjacent to the boundaries of the Property as are <br />identified in the Concept Plan or on any Approved Plat or any site plan submitted to the City for <br />any portion of the Property. <br />2.02 Permitted Uses. The Concept Plan for the Property designates the Property as a <br />"PDD ", which shall include all of the uses authorized on the Property, all of which may be <br />located on any portion of the Property without any further requirement or specific or conditional <br />use permit except as otherwise provided by the Governing Regulations. Uses designated as <br />"Permitted Uses" shall be permitted by right without any further requirements for additional <br />specific or conditional use approvals, <br />2.03 Buildings and Other Improvements. Building use, location, design, size, <br />dimension, height, building setbacks, building materials, landscaping, screening, fencing, <br />lighting, required parking, signage, and other improvements for all portions of the Property shall <br />be governed by the Governing Regulations. <br />2.04 Phasing. The development of the Property, or portions thereof, may be phased <br />into one or more phases as determined by Carma, so long as related infrastructure is adequately <br />in place. <br />2.05 Third Part, Inspection Services. The Parties acknowledge that timely City <br />inspection of street, drainage, and utility infrastructure for the Project is of paramount <br />importance. The Parties hereby agree that Carma can request that the City retain third party <br />inspection services specifically dedicated to perform inspection services for the Project. City <br />agrees to provide advance notice to Carma of the identity of any third party inspection services <br />proposed to be retained by the City. Any such qualified third party inspection services shall be <br />retained by the City pursuant to such terms and conditions the City deems appropriate and <br />
