<br />The City of San Marcos Facilities Service Contract <br /> <br />ARTICLE IX <br />ROUTINE, PREVENTATNE AND CORRECTNE MAINTENANCE <br /> <br />SECTION 9.1. MAINTENANCE GENERALLY. (A) Preventative Maintenance. <br />The Company shall perform all Preventive Maintenance of the Facilities and shall keep such <br />Facilities in good working order, condition and repair, in a neat and orderly condition and in <br />accordance with the Contract Standards, and shall maintain the aesthetic quality of the <br />Facilities as originally constructed. The Company shall provide or make provisions for all <br />labor, materials, supplies, equipment, spare parts, Consumables and services which are <br />necessary for the Preventive Maintenance of the Facilities and shall conduct Predictive and <br />routine Maintenance of the Facilities as required by the Contract Standards. The Company <br />shall keep detailed daily, monthly and annual maintenance logs describing all maintenance <br />activities performed, shall develop and comply with a detailed predictive maintenance plan, and <br />shall update the Operations and Maintenance Manual as required to reflect changes in <br />parameters, newly installed equipment or replacement equipment and modified regulatory <br />requirements and operating practices. <br />(B) Routine Maintenance. The Company, in accordance with the Contract <br />Standards, shall perform all Routine Maintenance of the Site and the Facilities. <br />(C) Corrective Maintenance. The Company shall be responsible for <br />performing Corrective Maintenance of the Facilities if such repair or replacement does not <br />exceed $5,000 (excluding the cost of any non-third party labor), provided, however any such <br />Corrective Maintenance that would exceed the Corrective Maintenance Budget shall be pre- <br />approved in writing by the City. The City shall be responsible for undertaking Corrective <br />Maintenance which costs more than $5,000 that the City does not authorize the Company to <br />perform. In addition, the Company shall be responsible, subject to prior City approval, for <br />performing Corrective Maintenance at the Facilities which exceed $5,000 (excluding the cost of <br />any non-third party labor). All Corrective Maintenance shall be performed in accordance with <br />the Contract Standards. <br /> <br />(D) <br /> <br />Costs of Maintenance. <br /> <br />All Routine Maintenance and Preventive <br /> <br />Maintenance shall be undertaken by the Company without reimbursement from the City. The <br />Company acknowledges that compensation for Routine and Preventive Maintenance is included <br />in the Base Fee component of the Service Fee. The cost of Corrective Maintenance shall be <br />reimbursed by the City on a Cost Substantiated basis except that the following costs of <br />Corrective Maintenance will not be reimbursed: (i) any labor performed by an employee of the <br />Company assigned to the Facilities; or (il) any Corrective Maintenance necessary due to the <br />Company's (a) failure to perform Routine or Predictive Maintenance in accordance with the <br /> <br />64 <br />
