<br />The City of San Marcos Facilities Service Contract <br /> <br />Contract Standards, (b) failure to operate the Facilities in accordance with the Contract <br />Standards; (c) the Company's Willful or Negligent Act, Error or Omission misconduct, or <br />(d) Company Breach. <br />(E) Pavment for Corrective Maintenance. In the event that Corrective <br />Maintenance is eligible to be reimbursed by the City pursuant to subsection (C) hereof, such <br />amounts shall be available from the Corrective Maintenance Budget only upon prior <br />authorization of the City, except in the case of an emergency, and shall be Cost Substantiated. <br />In connection with emergencies, the Company shall notify the City of the nature and cost of the <br />expense by the end of the next business day following the end of the emergency condition. The <br />Company, as part of the monthly report required under Section 7.17 hereof, shall include an <br />itemized accounting of the Corrective Maintenance expenditures that occurred during the <br />applicable Billing Period. For each expenditure item over $100, the Company shall list the <br />name of the item, a description of the item, the name and city/state location of the vendor, the <br />vendor's and the Company's purchase order numbers, and the amount of the expenditure. For <br />items under $100, the Company shall include the name of the item, a description of the item, <br />the vendor's name and city/state location, and the amount of the expenditure. The monthly <br />report shall also include the total sum of Corrective Maintenance expenditures year-to-date, <br />the amount of the Corrective Maintenance remaining, and a forecast of year-end actual <br />Corrective Maintenance expenditures. The Company shall provide additional Corrective <br />Maintenance expense justification and detail as requested by the City in connection with <br />individual Corrective Maintenance items or monthly reports. The Company shall provide the <br />City written notice when the Company has exhausted 80% of the Corrective Maintenance <br />Budget for a particular Contract Year. At the end of the Contract Year, all unspent Corrective <br />Maintenance funds shall revert to the City. If justified and approved Corrective Maintenance <br />expenditures exceed the Corrective Maintenance Budget, the City shall provide additional <br />funds for the Corrective Maintenance in sufficient time to pay the expenditure by the date the <br />invoice is payable. <br />(F) Spare Parts. The Company shall maintain a spare parts inventory in <br />accordance with Good Industry Practice. <br />(G) Facilities Optimization. Throughout the Term, the Company will <br />periodically evaluate operation and maintenance efficiencies and will make adjustments to its <br />operating procedures as reasonable and necessary with the goal of operating under optimized <br />conditions. <br /> <br />SECTION 9.2. PROCEDURES TO ASSURE SUFFICIENCY OF COMPANY <br />MAINTENANCE. REPAIR AND REPLACEMENT WORK. The parties shall work together to <br />ensure that an initial evaluation of the Facilities, equipment, assets, expendable supplies and <br />spare parts shall be performed within 45 days of the Contract Date for the purpose of <br /> <br />65 <br />
