<br />The City of San Marcos Facilities Service Contract <br /> <br />establishing the baseline schedule of the appearance and general condition of the structures <br />and the quantity, appearance and general condition (including functionality) of equipment, <br />supplies, chemicals and spare parts. The Company will lead the evaluation and the City will <br />have a qualified person participate in the evaluation process. The parties shall also jointly <br />perform an exit audit of the condition and functionality of the Facilities will be performed in the <br />fmal Contract Year or upon termination of this Service Contract if terminated prior to the final <br />Contract Year. The purpose of the evaluations shall be to establish an information baseline for <br />determining compliance by the Company with its maintenance, repair and replacement <br />obligations under this Article. The evaluations of the Facilities shall determine and establish <br />the existing state of repair of the Facilities. As part of each evaluation, the parties shall <br />digitally photograph and prepare an itemized inventory of all property constituting the <br />Facilities. In addition, the Company will provide, and the City will approve, the form for <br />documenting the results of the evaluation. The Company will compile the documentation and <br />photographs into a report that, following the City's review and concurrence, will serve as the <br />documentation of the initial evaluation. The exit evaluation will be conducted in the same <br />manner as the initial evaluation and an exit report will be created comparing the initial <br />evaluation results to the exit evaluation results. In the event that the parties cannot agree on <br />the results of the initial or fmal evaluation, an Independent Evaluator shall be appointed. The <br />Company shall ensure that the Facilities are in at least as good a condition as when turned <br />over to the Company, reasonable wear and tear excepted. The Facilities will be maintained, <br />repaired and replaced in a manner which will result in the Facilities being tumed over to the <br />City in good working order and which avoids the necessity for the City to undertake an <br />overhaul of the Facilities when assuming management responsibilities at the end of the term of <br />the Service Contract. In addition, the Company shall ensure that the inventory at the end of <br />the Term shall be equal to the inventory at the beginning of the Term. <br />SECTION 9.3. PERIODIC MAINTENANCE INSPECTIONS. (A) Annual <br />Maintenance Inspection. The City may, upon reasonable written notice, perform an inspection <br />of the Facilities and relevant records of the Company each Contract Year to determine <br />compliance with the Contract Standards generally. The Company shall cooperate fully with the <br />inspections, which shall not interfere unreasonably with the Company's performance of the <br />Contract Services. <br />(B) Full Scale Triennial Inspections. Every full third Contract Year there <br />shall be a full-scale inspection and review of the state of repair, working condition and <br />performance capability of the Facilities. The inspection and review shall be performed by or on <br />behalf of the City at the City's expense, and shall take place at such time as the City shall <br />determine upon three months' written notice to the Company.
