c) Point -to -Point T1 Connectivitv: The Point -to -Point T1 circuits used in the City's data <br />network are at the following locations: <br />1) 630 E Hopkins Street (Municipal Building) to 700 N. LBJ (WIC Building); and <br />2) 2300 IH -35 South (Police Department) to 4015 IH -35 (Tanger Outlet). <br />1.0.3 Services and any related products will be provided by CenturyTel of San Marcos, Inc. <br />and CenturyTel Long Distance LLC. In performing all services under this Agreement, the <br />Contractor will use that degree of care and skill normally exercised by telecommunication <br />service providers that possess special expertise in the types of services involved under this <br />Agreement. The performance of all services by the Contractor in connection with this <br />Agreement will be by persons appropriately trained, licensed, registered or certified under State, <br />local and federal laws as appropriate. The Contractor certifies that (a) CenturyTel of San <br />Marcos, Inc. is a Local Exchange Company, Local Service Provider, and a Facilities Based <br />Carrier; (b) CenturyTel Long Distance LLC is an Interexchange Carrier; and (c) that each entity <br />provides telecommunications services of the nature described in this Agreement in its normal <br />and customary course of business. The Contractor understands that the City, compared to the <br />Contractor is relatively unfamiliar with the types of products, equipment and services required <br />under this Agreement and that in executing this Agreement the City relies on the Contractor's <br />superior knowledge of these types of products, equipment and services. <br />1.0.4 The Contractor will not subcontract any work under this Agreement without prior written <br />approval from the City. The Contractor will specify any work or services subcontracted under <br />this Agreement by separate written Agreement and that Agreement will be subject to each <br />provision of this Agreement. <br />1.0.5 Any provisions in this Agreement pertaining to the City's review, approval and/or <br />acceptance of work performed or written materials prepared by the Contractor and/or its <br />subconsultants, contractors, and subcontractors in connection with this Agreement will not <br />diminish the Contractor's responsibility for the materials or work. <br />1.0.6 The Contractor will perform all of its services in coordination with the City. The <br />Contractor will advise the City of data and information the Contractor needs to perform its <br />services and the Contractor will meet with City representatives at mutually convenient times to <br />assemble this data and information. <br />1.0.7 David Claypool is the Contractor's Project Manager who has full authority to act on the <br />Contractor's behalf The Project Manager is the primary source of contact for the City and is <br />designated as the Contractor's representative most responsible for ensuring accurate and <br />effective implementation of its services under this Agreement. <br />Telecommunications Services Agreement 2011 <br />2 <br />
