RFP 211 -037 <br />N. CONTRACT PERIOD: The successful Proponent will be awarded a contract for a <br />two (2) year period after acceptance of the completed installation and activation, as <br />described in Section 4.J. <br />O. OPTION TO EXTEND: This contract will automatically extend for eight (8) <br />additional one (1) year periods, provided all terms and conditions remain in full force <br />and effect except the contract period being extended. The City reserves the right to not <br />to extend the contract and notify the successful Proponent by issuing a written notice no <br />sooner than one hundred and twenty (120) days prior to the expiration of the contract. <br />The total period of this contract, including all extensions as a result of exercising this <br />option, will not exceed a maximum combined period of ten (10) years. <br />P. CITY'S PAYMENT TERMS: Charges for installation and activation services will be <br />paid when all installation criteria is met as described in this RFP and when acceptance <br />is completed as described in Section 4.J. Recurring charges will be paid on a monthly <br />basis after acceptance of services as described in Section 4.J. <br />Q. GUARANTEED PRICING: The City reserves the right, upon contract award, or for a <br />period of two (2) years from date of acceptance, to purchase additional service(s) under <br />the terms and conditions detailed in this RFP and at the rates quoted in the Proponent's <br />proposal and eventual contract. <br />R. PERMITS AND FEES: The successful Proponent will pay all fees and purchase <br />and pay for all permits required for the installation and implementation of the materials <br />and labor necessary for this Project. <br />S. SUBCONTRACTORS: The successful Proponent will submit subcontractor <br />information for approval by the City before the subcontractor will be allowed to <br />commence any portion of the work. The successful Proponent is fully responsible to the <br />City for all subcontractor employees. All subcontractors will be paid in full by the <br />successful Proponent prior to system acceptance by the City. <br />T. PERSONNEL CHANGES /CONFLICTS: All personnel assigned to this Project by <br />the successful Proponent will remain assigned for the Project's duration, unless the <br />employee leaves employment of the successful Proponent, or the City requests a <br />change of personnel. The City reserves the right to remove an employee of the <br />successful Proponent from the location if, in the City's sole discretion, the employee is <br />deemed incompetent, negligent, or offensive, or has engaged in misconduct according <br />to the standards in the City's handbook. The successful Proponent agrees that the City <br />will not be liable for any damage or cause of action arising from the removal of an <br />employee of the successful Proponent, and agrees to indemnify, defend and hold <br />harmless the City for causes of action or damages brought by successful Proponent's <br />personnel against the City which arise out of such removal. <br />16 <br />
