<br />I <br /> <br />I <br /> <br />I <br /> <br />The amounts of these invoices will be as follows: <br /> <br />1. 10% of the total fee for the unit following the City's approval of Contractor's submittals; <br />2. 20% of the total fee for the unit upon the Contractor's delivery of the Equipment to the <br />Project site(s); <br />3. 20% of the total fee for the unit upon the Contractor's satisfactory installation of the <br />Equipment as described in Section 1.7 of this Agreement; <br />4. 40% of the total fee for the unit upon the Contractor's completion of training, necessary <br />testing and continuous operation of the unit for 60 calendar days without a documented <br />failure to meet the performance requirements of Section 1.4.1; and <br />5. The remaining 10% of the total fee for the unit upon the City's final acceptance of the <br />Project, which will be granted following a full year of successful operation of all units. <br />This final payment shall be placed in an interest-bearing account at the same time the <br />payments under Item 4 above are made. All interest shall accrue to the Contractor's <br />benefit. <br /> <br />Payment of all invoices will be less any disputed amounts, pending resolution thereof. <br /> <br />3.2 PAYMENTS ON ACCOUNT OF ADDITIONAL SERVICES <br /> <br />Payments on account of the Contractor's Additional Services as defined in Section 1.8 will be <br />made monthly upon presentation of the Contractor's statement of services rendered or expenses <br />incurred, less any disputed amounts, pending resolution thereof, and accompanied by an <br />Authorization of Change in Services form executed by the Contractor and the City. <br /> <br />ARTICLE 4 <br />CONTRACTOR'S RECORDS <br /> <br />4.2 The City, its auditors, and federal and state agencies that have monitoring or auditing <br />responsibilities for this Agreement will have access to any books, documents, papers and records <br />of the Contractor which are directly pertinent to this Agreement for the purpose of making audit, <br />examination, excerpts, copying and transcriptions. <br /> <br />4.3 The Contractor will furnish to the City at such time and in such form as the City may <br />require, financial statements, records, reports, data and information, as the City may request <br />pertaining to the matter covered by this Agreement. <br /> <br />ARTICLE 5 <br />OWNERSHIP AND USE OF DOCUMENTS <br /> <br />5.1 All documents prepared by Contractor in connection with this Agreement will become <br />the property of the City whether any project related to this Agreement is executed or not. City <br />agrees such documents are not intended or represented to be suitable for reuse for another project <br />by City or others. Any such reuse by City or those who obtained said documents from City <br />without written verification or adaptation by the Contractor will be at City's sole risk and <br /> <br />8 <br />
