<br />Selection will be based upon proponent response to specifications as detailed in this RFP. <br />The City will consider all components and quantities equal to and greater than those <br />specified. The City reserves the right to accept or reject any or all proposals with or I <br />without cause, to determine what is deemed as equivalent and to waive any irregularities it <br />deems appropriate in order to obtain the best solution. The proponent's experience and <br />demonstration of efficient and effective Implementation and support skills will be critical in <br />the selection process. <br /> <br />To be considered, the bidder must meet the City's requirements, demonstrate the abilityto <br />perform successfully and responsibly under the terms of the prospective contract, and <br />submit the completed offer according to the time frames, procedures and format stipulated <br />by this solicitation. <br /> <br />B. RANKING: All proposals will be reviewed and ranked according to the criteria above, <br />and proponents may be selected for interviews or oral presentations as may be necessary. <br />The City makes no commitment to any respondent to this RFP beyond consideration of the <br />written response to this RFP. The City's mandatory provisions for this contract are <br />attached as Exhibit "A". Where conflicts exist between the provisions of Exhibit "A" and the <br />provisions of this RFP, the provisions imposing greater responsibility on the proponent will <br />control. <br /> <br />C. CONTRACT: The selection of a proponent and the execution of a contract, while <br />anticipated, is not guaranteed by the City. The City reserves the right to determine which <br />proponent's proposal is in the City's best interest and to award the contract on that basis, I <br />to reject any and all proposals, waive any irregularities of any proposal, negotiate with any <br />potential proponent (after proposals are opened) if such is deemed to be in the best <br />interest of the City. <br /> <br />11. AWARD OF CONTRACT <br /> <br />A. NEGOTIATIONS: After selection of a proponent based on qualifications, the City will <br />then enter into negotiations as to the terms of the agreement, all aspects of services, and <br />the compensation to be paid to the proponent. <br /> <br />B. INABILITY TO REACH AGREEMENT: In the event the negotiations between the <br />proponent selected and the City cannot be completed as a result of an inability to reach <br />agreement on the fee for services, or the scope of work to be performed, then at the option <br />of the City, the contract may be awarded to the second most qualified proponent. <br />Negotiations will continue in this sequence until a contract is finalized or all proposals are <br />rejected. <br />C. CITY COUNCIL APPROVAL: The final contract will be submitted to the City Council for <br />approval. <br /> <br />D. FINAL CONTRACT: The selected proponent will be required to assume responsibility I <br />for all services offered in their proposal. The selected proponent will be considered the <br />sole point of contact with regard to contractual matters, including payment of any and all <br /> <br />- 24- <br />
