Selection will be based upon proponent response to specifications as detailed in this RFP. The City will consider all components and quantities equal to and greater than those specified. The City reserves the right to accept or reject any or all proposals with or I without cause, to determine what is deemed as equivalent and to waive any irregularities it deems appropriate in order to obtain the best solution. The proponent's experience and demonstration of efficient and effective Implementation and support skills will be critical in the selection process. To be considered, the bidder must meet the City's requirements, demonstrate the abilityto perform successfully and responsibly under the terms of the prospective contract, and submit the completed offer according to the time frames, procedures and format stipulated by this solicitation. B. RANKING: All proposals will be reviewed and ranked according to the criteria above, and proponents may be selected for interviews or oral presentations as may be necessary. The City makes no commitment to any respondent to this RFP beyond consideration of the written response to this RFP. The City's mandatory provisions for this contract are attached as Exhibit "A". Where conflicts exist between the provisions of Exhibit "A" and the provisions of this RFP, the provisions imposing greater responsibility on the proponent will control. C. CONTRACT: The selection of a proponent and the execution of a contract, while anticipated, is not guaranteed by the City. The City reserves the right to determine which proponent's proposal is in the City's best interest and to award the contract on that basis, I to reject any and all proposals, waive any irregularities of any proposal, negotiate with any potential proponent (after proposals are opened) if such is deemed to be in the best interest of the City. 11. AWARD OF CONTRACT A. NEGOTIATIONS: After selection of a proponent based on qualifications, the City will then enter into negotiations as to the terms of the agreement, all aspects of services, and the compensation to be paid to the proponent. B. INABILITY TO REACH AGREEMENT: In the event the negotiations between the proponent selected and the City cannot be completed as a result of an inability to reach agreement on the fee for services, or the scope of work to be performed, then at the option of the City, the contract may be awarded to the second most qualified proponent. Negotiations will continue in this sequence until a contract is finalized or all proposals are rejected. C. CITY COUNCIL APPROVAL: The final contract will be submitted to the City Council for approval. D. FINAL CONTRACT: The selected proponent will be required to assume responsibility I for all services offered in their proposal.
